Affiliate’s Obligation to Pay Taxes Resulting from Take5 Services. You agree that if additional taxes in the nature of an excise, sales, or use tax are imposed in connection with Take5’s Services and paid by Take5 on your behalf, you shall be liable to Take5 in an amount equal to the amount of such tax payment made by Take5. You authorize Take5 to collect and pay over taxes in the nature of an excise, sales, or use tax on your behalf or on account of Take5’s sale of Products if reasonably required to do so by any jurisdiction’s taxing authority and paid on your behalf. Take5 shall have the right to recover from you the amount of any such taxes, related penalties and interest paid by Take5 with its own funds. You shall also pay Take5 for any related expenses incurred by Take5, including reasonable attorney’s fees, in its collection of any amounts due from you.
