Affiliates and Contractors. With respect to Affiliates and Contractors that Buyer allows to use the Licensed Materials: (a) Buyer remains responsible for all obligations hereunder arising in connection with such Affiliate’s or Contractor’s use of the Licensed Materials; and (b) Buyer agrees to be directly liable for any act or omission by such Affiliate or Contractor to the same degree as if the act or omission were performed by Buyer such that a breach by an Affiliate or a Contractor of the provisions of this Agreement will be deemed to be a breach by Xxxxx. The performance of any act or omission under this Agreement by an Affiliate or a Contractor for, by or through Buyer will be deemed the act or omission of Buyer.
Affiliates and Contractors. BluIP agrees to provide the Services and Equipment in accordance with the Agreement. BluIP may utilize services and facilities of its Affiliates, subsidiaries, contractors and other third parties in providing the Services. Notwithstanding the foregoing, BluIP shall have no liability for the failure of the Internet, local loops, or other circuits connections, items, Service modifications or combinations not provided or managed, whether or not distributed by BluIP as part of or together with the Services.

Affiliates and Contractors. Customer, including its Affiliates, may enter into Orders with OwnBackup and its Affiliates. An Affiliate entering into an Order agrees to be bound by this Agreement as if it were an original party hereto. Customer may allow its Affiliates and contractors to use the Services, provided Customer is responsible for their compliance with the terms of this Agreement, and use by such contractors is solely for Customer’s benefit. Affiliate means any company controlled by or under common control with the subject entity, directly or indirectly, with an ownership interest of at least 50%.

The rights and licenses granted to Oculis under this Agreement include the right to have some or all of Oculis’s rights exercised or performed by one or more of Oculis’s Affiliates or by Third Party contractors for and on behalf of Oculis or its Affiliates. For clarity, such parties to the extent exercising or performing such rights on behalf of Oculis or its Affiliates shall not constitute Sublicensees. Oculis shall be responsible for actions taken or omissions by such Affiliates or Third Party contractors (for clarity, excluding Accure and its Affiliates) in exercising such rights on behalf of Oculis.
