Affiliate Letter. On or prior to the date of the Company Stockholders Meeting, the Company will deliver to Parent a letter (the “Company Affiliate Letter”) identifying all persons who are “affiliates” of the Company for purposes of Rule 145 under the Securities Act (“Rule 145”). On or prior to the Closing Date, the Company will use all reasonable efforts to cause each person identified as an “affiliate” in the Company Affiliate Letter to deliver a written agreement, in form and substance reasonably acceptable to Parent, in connection with restrictions on affiliates under Rule 145.
Affiliate Letter. The Company shall deliver on the date hereof a letter to Parent identifying all persons who, to the Knowledge of the Company, are “affiliates” of the Company for purposes of Rule 145 under the Securities Act.
Affiliate Letter. The Stockholder shall deliver to MergerCo on ---------------- or prior to the Effective Time a written agreement substantially in the form attached as Annex A to the Recapitalization Agreement.

Affiliate Letter. You hereby agree to execute and deliver to Company and Parent, promptly upon request, an "affiliate" letter acknowledging that you are an "affiliate" of Company and agreeing to comply with the transfer restrictions and other provisions of the Securities Act of 1933, as amended, applicable to affiliates, including, without limitation, Rule 145 promulgated under such Act.
Affiliate Letter. On or prior to the date of the MCI Stockholder Meeting, MCI will deliver to WorldCom a letter (the "MCI Affiliate Letter") identifying all persons who are "affiliates" of MCI for purposes of Rule 145 under the Securities Act ("Rule 145"). On or prior to the Closing Date, MCI will deliver on behalf of each person identified as an "affiliate" in the MCI Affiliate Letter (other than BT) a written agreement (an "Affiliate Agreement") in connection with restrictions on affiliates under Rule 145.
Affiliate Letter. Shareholder shall execute and deliver the agreement contemplated by the last sentence of Section 5.11(a) of the Merger Agreement.
Affiliate Letter. On or prior to the date of the Sprint Stockholders Meeting, Sprint will deliver to MCI WorldCom a letter (the "Sprint Affiliate Letter") identifying all Persons who are, or may be, "affiliates" of Sprint for purposes of Rule 145 under the Securities Act ("Rule 145"). On or prior to the Closing Date, Sprint will use its reasonable efforts to deliver on behalf of each Person identified as an "affiliate" in the Sprint Affiliate Letter a written agreement in connection with restrictions on affiliates under Rule 145.
Affiliate Letter. The Stockholder agrees to execute and deliver on a timely basis, when and if requested by Parent, a written agreement in substantially the form of Exhibit B to the Merger Agreement.
