ADVERTISING AND PROMOTIONAL PROGRAMS. 5.1. Dealer agrees to develop and actively utilize programs for the advertisement and promotion of Honda Products and its servicing of such products. Such programs will include the prominent display and use or demonstration of Honda Automobiles. Dealer further agrees to cooperate with all reasonable promotional programs developed by American Honda.

ADVERTISING AND PROMOTIONAL PROGRAMS. Seller will cause each of the Division and the Division Subsidiaries to ensure that all advertising campaigns and promotional programs and commitments, whether currently in operation, planned or scheduled for expiration, are conducted in the Ordinary Course of Business and consistent with past practice.

You agree that we will not be liable to you or any other person, and you waive all claims for liability or damages of any type (whether direct, indirect, incidental, consequential, or exemplary), on account of any guidance or operating assistance offered by us in accordance with this Section 5.3, except to the extent caused by our gross negligence or intentional misconduct. We will make no separate charge to you for such operating assistance and guidance as we customarily provide to our franchisees generally. Occasionally, we may make special assistance programs available to you, however, for which you will be required to pay the daily fees and charges that we establish.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Promotional Probation a. An employee on promotional probation may be failed at any time without right of appeal or hearing, except as provided in C.3., below, and except that failing an employee on promotional probation must not be arbitrary, capricious or unreasonable.

  • Branding 5.2.1 Except as stated in Section 5.2.2 of this Attachment, in providing Verizon Telecommunications Services to Cost Plus, Verizon shall have the right (but not the obligation) to identify the Verizon Telecommunications Services with Verizon’s trade names, trademarks and service marks (“Verizon Marks”), to the same extent that these Services are identified with Verizon’s Marks when they are provided to Verizon’s Customers. Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Cost Plus to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Cost Plus and at prices, terms and conditions to be negotiated by Cost Plus and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Cost Plus’s trade name, or that are not identified by trade name, trademark or service mark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Cost Plus will be responsible for entering into a direct contractual arrangement with the third-party contractor at Cost Plus’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Cost Plus for resale with Cost Plus’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Cost Plus for resale.
