Common use of Adverse Claim Clause in Contracts

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liens, (B) any Person other than the Seller, the Servicer, the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than Permitted Adverse Claim) upon the Sold Supporting Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Concentration Account or any Person other than an Originator shall obtain any right to direct any action with respect to a Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer a Seller-Related Party or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof (other than Permitted LiensAdverse Claims) upon any Supporting Assets, (B) any Person other than the Seller, the Servicer, Servicer or the Administrative Agent or, shall obtain any rights or direct any action with respect to any Excluded Collection Account, the related Excluded Collection Concentration Account Owner or any Person other than an Originator shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer a Seller-Related Party or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Adverse Claim) upon the Sold Assets or the Seller Collateral or any material portion thereof other than Permitted Liensthereof, (B) any Person other than the Sellerany Borrower, the Servicer, Servicer or the Administrative Agent or, (or solely with respect to the Approved Account at any Excluded Collection Accounttime prior to the Post-Closing Date, the related Excluded Collection Account Owner Interstate Logos LLC) shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, the Administrative Agent or, any Aveanna Party or any Secured Party hereunder shall obtain any rights or direct any action with respect to any Excluded Collection Collateral Account, (C) any Person other than the related Excluded Collection Account Owner Borrower, an Originator, the Servicer or the Administrative Agent shall obtain any rights or direct any action with respect to any Collection Account (or Account(or any related Lock-Box) or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Lien) upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the SellerBorrower, the Servicer, Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box), (C) any Person other than the related Originator shall obtain any rights or direct any action with respect to any Sweep Account or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Lien) upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner Originator shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box), (C) any Person other than the Borrower, an Originator, the Servicer or the Administrative Agent shall obtain any rights or direct any action with respect to any Sweep Account or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liens, (B) any Person other than the Seller, the Servicer, the Pledgor, the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Adverse Claim) upon the Sold Assets Receivables or the Seller Collateral Related Rights or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Selleran Originator, the ServicerBuyer, the Master Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Collection Account Lock-Box) or Originator Account (or related Originator Account Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Master Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person (other than the Buyer or its assigns) shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any material portion thereof other than Permitted Liensthereof, (B) any Person other than the SellerBuyer, the Servicer, Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-BoxLock‑Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool the Purchased Receivable(s) from a Person other than the Buyer, the Originators on behalf of the Buyer, the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Receivables or Related Assets or the Seller Collateral Conveyed hereunder or any material portion thereof (other than Permitted 323755067.17 Pre-Conveyance ABL Liens), (B) any Person other than the SellerBuyer, the Servicer, the SPE or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) ), or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) Conveyed hereunder from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets Receivables or the Seller Collateral Related Rights transferred hereunder or any material portion thereof other than Permitted Liensthereof, (B) any Person other than the SellerBuyer, the ServicerBorrower, the Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Buyer or the Borrower, the Originators at the request of the Buyer or the Borrower, or the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the SellerBorrower, the Servicer, Servicer or the Administrative Agent or, shall obtain any rights or direct any action with respect to any Excluded Collection Collateral Account, (C) any Person other than the related Excluded Collection Account Owner applicable Originator or the Administrative Agent shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Borrower, the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than Permitted Adverse Claims) upon the Sold Assets Receivables or the Seller Collateral Related Rights or any portion thereof other than Permitted Liensthereof, (B) any Person other than the SellerBuyer, the Servicer, Servicer or the Administrative Agent or, shall obtain any rights or direct any action with respect to any Excluded Collection Account, the related Excluded Collection Concentration Account Owner or any Person other than an Originator shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer a Seller-Related Party or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Lien) upon the Sold Supporting Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner Originator shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box), (C) any Person other than the Seller, an Originator, the Servicer or the Administrative Agent shall obtain any rights or direct any action with respect to any Sweep Account or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, the Administrative Agent or, any Aveanna Party or any Secured Party hereunder shall obtain any rights or direct any action with respect to any Excluded Collection Collateral Account, (C) any Person other than the related Excluded Collection Account Owner Borrower, an Originator, the Servicer or the Administrative Agent shall obtain any rights or direct any action with respect to any Collection Account (or Account(or any related Lock-Box) or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim upon the Sold Assets Receivables or the Seller Collateral Related Rights or any portion thereof (other than a Permitted LiensAdverse Claim), (B) any Person other than the Selleran Originator, the ServicerBuyer, the Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box) or Blocked Account (other than a Permitted Adverse Claim) or (C) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than an Originator, the Servicer or the Administrative Agent.

Adverse Claim. (A) Any Person shall obtain an Adverse Claim (other than a Permitted Lien) upon the Sold any Supporting Assets or the Seller Collateral or any portion thereof other than Permitted Liensthereof, (B) any Person other than the Seller, the Servicer, Servicer or the Administrative Agent or, with respect to any Excluded Collection Account, the related Excluded Collection Account Owner shall obtain any rights or direct any action with respect to any Collection Account (or related Lock-Box), (C) any Person other than the related Originator shall obtain any rights or direct any action with respect to any Sweep Account or (CD) any Obligor shall receive any change in payment instructions with respect to Pool Receivable(s) from a Person other than the Servicer or the Administrative Agent.
