Administrative Services Only. Nothing in this Professional Business Management Agreement is intended or shall be construed to allow Professional Business Manager to exercise control, authority or direction over the manner or method by which the Practice and its Professionals perform Professional Eye Care Services or other professional health care services. The rendition of all Professional Eye Care Services, including, but not limited to, the prescription or administration of medicine and drugs, shall be the sole responsibility of the Practice and its Professionals, and Professional Business Manager shall not interfere in any manner or to any extent therewith. Nothing contained in this Professional Business Management Agreement shall be construed to permit Professional Business Manager to engage in the practice of optometry, it being the sole intention of the Parties hereto that the services to be rendered to the Practice by Professional Business Manager are solely for the purpose of providing non-optometric management and administrative services to the Practice so as to enable the Practice to devote its full time and energies to the professional conduct of its professional eye care practice and provision of Professional Eye Care Services to its patients.

The rendition of all Medical Services, including, but not limited to, the prescription or administration of medicine and drugs shall be the sole responsibility of Practice and its Physicians and Optometrists, and Business Manager shall not interfere in any manner or to any extent therewith. Nothing contained herein shall be construed to permit Business Manager to engage in the practice of medicine, it being the sole intention of the parties hereto that the services to be rendered to Practice by Business Manager are solely for the purpose of providing nonmedical management and administrative services to Practice to enable Practice to devote its full time and energies to the professional conduct of its medical practice and provision of Medical Services to its patients and not to administration or practice management. Practice, through the Physicians and Optometrists, shall be responsible for and shall have complete authority, responsibility, supervision and control over the opticians and other employees of Business Manager providing services in connection with the Dispensary Business, consistent with the requirements necessary to satisfy the "in-office ancillary service exception" to the Xxxxx Act.

Nothing contained in this agreement shall be construed to permit Service Company to engage in the practice of dentistry, it being the sole intention of the Parties hereto that the services to be rendered to Provider by Service Company are solely for the purpose of providing non-dental administrative services to Provider so as to enable Provider to devote its full time and energies to the professional conduct of its dental practice and provision of Dental Care to its patients and not to administration, or practice management.

Except as Agent of Medical Practice, nothing in this Agreement is intended or shall be construed to allow Practice Manager to exercise control or direction over the manner or method by which Medical Practice and its Physicians perform Medical Services. The rendition of all Medical Services, including but not limited to, the prescription or administration of medicine and drugs, shall be the sole responsibility of Medical Practice and its Physicians and Practice Manager shall not interfere in any manner or to any extent therewith. Nothing in this Agreement shall be construed to permit Practice Manager to engage in the practice of medicine, it being the intention of the parties that the services to be rendered to Medical Practice by Practice Manager are solely for the purpose of providing management and administrative services so that Medical Practice can devote its full time and energies rendering patient treatment services and to the provision of Medical Services to its patients.

The rendition of all medical services shall be the sole responsibility of Medical Group and its physicians, and URLLC shall not interfere in any manner or to any extent therewith. Nothing contained in this Agreement shall be construed to permit URLLC to engage in the practice of medicine, it being the sole intention of the parties hereto that the services to be rendered to Medical Group by URLLC are solely for the purpose of providing non-medical consulting and administrative services to Medical Group.
