Administrative Agent’s Discretion. Whenever pursuant to this Agreement, Administrative Agent exercises any right given to it to approve or disapprove, or any arrangement or term is to be satisfactory to Administrative Agent, the decision of Administrative Agent to approve or disapprove or to decide whether arrangements or terms are satisfactory or not satisfactory shall (except as is otherwise specifically herein provided) be in the sole discretion of Administrative Agent and shall be final and conclusive.
Administrative Agent’s Discretion. Administrative Agent shall have the right in its sole discretion to determine which rights, Liens, security interests or remedies Administrative Agent may at any time pursue, relinquish, subordinate, or modify, which procedures, timing and methodologies to employ, and what any other action to take with respect to any or all of the Collateral and in what order, thereto and such determination will not in any way modify or affect any of Agents’ or Lenders’ rights hereunder as against Loan Parties or each other.
Administrative Agent’s Discretion. The Administrative Agent may at any time and from time to time (whether prior to or after the revocation or termination of this Credit Agreement) without the consent of, or notice to, the Guarantor, and without incurring responsibility to the Guarantor or impairing or releasing the Guaranteed Obligations, apply any sums received pursuant to this Article 17 by whomsoever paid or howsoever realized to any due and unpaid Guaranteed Obligations, in whatever order the Administrative Agent sees fit.
Administrative Agent’s Discretion. Administrative Agent’s election not to make a Margin Call at any time there is a Margin Deficit shall not in any way limit or impair its right to make a Margin Call at any time a Margin Deficit exists.
Administrative Agent’s Discretion. Notwithstanding anything to the contrary herein, the Administrative Agent may, in its reasonable discretion, determine that the provisions of this Article IV shall not apply to any particular Collateral in respect of which the costs of obtaining a perfected Lien therein is excessive in relation to the value or benefit afforded to the Secured Parties thereby.
Administrative Agent’s Discretion. Notwithstanding anything in this Agreement or any Security Document to the contrary, the Administrative Agent may, in its sole discretion, grant extensions of time for the satisfaction of any of the requirements under this Section 6.11 in respect of any particular Collateral or any particular Restricted Subsidiary if it determines that the satisfaction thereof with respect to such Collateral or such Subsidiary cannot be accomplished without undue expense or unreasonable effort or due to factors beyond the control of Borrower and the Restricted Subsidiaries by the time or times at which it would otherwise be required to be satisfied under this Agreement or any Security Document.
Administrative Agent’s Discretion. All requirements for the Collateral are imposed solely and exclusively for the benefit of the Lenders but are to be enforced and monitored solely and exclusively by Administrative Agent in accordance with the provisions of the Loan Documents. No Person (including Borrower, any Guarantor or any other Lender) other than Administrative Agent shall have any standing to require satisfaction of any such requirements. Administrative Agent shall be entitled to require delivery of the items referenced in Section 5.2 and Section 5.3 at any time and, from time to time (subject to the limitation contained in Section 5.4), and the failure of Administrative Agent to request any such items at any particular time shall not constitute a waiver of the Lenders' rights to thereafter require that such items be delivered.

Whenever pursuant to this Agreement Administrative Agent’s right to approve or disapprove is to be reasonably exercised, or any arrangement or term is to be reasonably satisfactory to Administrative Agent, Administrative Agent’s approval shall not be unreasonably withheld, conditioned or delayed.

Administrative Agent (at the direction of the Required Lenders) shall have the right in its sole discretion to determine which rights, Liens, security interests or remedies Administrative Agent (at the direction of the Required Lenders) may at any time cause Collateral Agent to pursue, relinquish, subordinate, or modify, which procedures, timing and methodologies to employ, and what any other action to take with respect to any or all of the Collateral and in what order, thereto and such determination will not in any way modify or affect any of Administrative Agent’s or Lenders’ rights hereunder as against the Loan Parties or each other.

Whenever this Agreement expressly provides that Administrative Agent is required to be reasonable in its determination of whether or not to consent to or approve a certain matter, such provisions shall also be deemed to require that Administrative Agent not unreasonably delay or condition such consent or approval.
