Common use of Administration of the Agreement Clause in Contracts

Administration of the Agreement. The Administrator shall have the authority, in its discretion, to construe and interpret the terms of this Agreement and the Option granted pursuant thereto, to prescribe, amend and rescind the rules and regulations relating to the Agreement, to determine the Fair Market Value of the Common Stock, and to make all other determinations deemed necessary or advisable for administering the Agreement. The Administrator's decisions, determinations and interpretations shall be final and binding on the Optionee and all other persons.

Notwithstanding the foregoing, no amendment or alteration of this Agreement shall adversely affect the rights of Grantee, unless mutually agreed otherwise between the Grantee and the Administrator.
