Adjustments; Set-off; Calculations; Computations Clause Samples
The "Adjustments; Set-off; Calculations; Computations" clause defines how financial amounts owed between parties are determined, adjusted, and reconciled under the agreement. It typically allows either party to make necessary adjustments to payments or obligations, to set off amounts owed against amounts receivable, and to specify the methods for calculating or computing such amounts. For example, if one party owes money but is also owed a different sum by the other party, the clause may permit netting these amounts to simplify settlement. The core function of this clause is to ensure accurate, fair, and efficient financial dealings between the parties, reducing the risk of disputes over payment calculations and streamlining the settlement process.
