Common use of ADEA Waiver Clause in Contracts

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, and that the consideration given for the waiver and release in this section is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (i) your waiver and release do not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii) you have twenty-one (21) calendar days to consider this Agreement (although you may choose voluntarily to sign it earlier, and you agree that changes to this Agreement, whether material or immaterial, do not restart the running of the twenty-one (21) calendar day period); (iv) you have seven (7) calendar days following the date you sign this Agreement to revoke it (by providing written notice of your revocation to me); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth calendar day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

ADEA Waiver. You further specifically agree that, as part of the Released Claims, you are releasing any claims that you could assert under the ADEA, as amended (the “ADEA Waiver”). You acknowledge that that: you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, ; that the Release Consideration is being given in partial consideration for the ADEA Waiver; and that the consideration given for the waiver and release in this section Release Consideration is in addition to anything of value to which you are were already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (i1) your waiver and release do this ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (ii2) you should consult with an attorney prior to signing this Agreement (although you may choose voluntarily not to do so); (iii3) you have twentyforty-one five (2145) calendar days to consider this Agreement (although you may choose voluntarily to sign it earlier, and you agree that changes to this Agreement, whether material or immaterial, do not restart the running of the twenty-one (21) calendar day period); (iv4) you have seven (7) calendar days following the date you sign this Agreement to revoke it the Agreement (in a written revocation provided to and received by providing written notice of your the Company’s CEO within the 7-day revocation to meperiod); and (v5) this the Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth calendar day after the date that you sign this Agreement is signed by you Agreement, provided that you do have not revoke timely revoked it (the “Effective Date”). You understand and agree that, if you revoke the ADEA Waiver, you will not be entitled to the Release Consideration.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, Federal Age Discrimination in Employment Act (“ADEA Waiver”) and that the consideration given for the waiver and release in this section ADEA Waiver is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (ia) your waiver and release do ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so)Agreement; (iiic) you have twenty-one (21) 21 calendar days from December 11, 2023 (i.e., until January 1, 2024) within which to consider this Agreement (although you may choose voluntarily to sign it execute Agreement earlier, and you agree that changes to this Agreement, whether material or immaterial, do not restart the running of the twenty-one (21) calendar day period); (ivd) you have seven (7) calendar days following the date you sign execution of this Agreement to revoke it (by providing written notice of your revocation to me)this Agreement; and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth calendar day after the date that you sign this Agreement is signed by you provided that you do have not revoke revoked it (the “Effective Date”). You agree that any modifications, material or otherwise, made to this Agreement do not restart or affect in any manner the original 21-day consideration period provided in this Section 7. To revoke this Agreement, you must email a written notice of revocation to xxxxxxxxxxxx@xxxxxxxxxx.xxx with a copy to xxxxxxxxx@xxxxxxxxxx.xxx, prior to the end of the seven-day period. You acknowledge that your consent to this Agreement is knowing and voluntary.

Nevertheless, your general release of claims, except for the date that this Agreement ADEA Waiver, is signed by you provided that you do effective immediately, and not revoke it (the “Effective Date”)revocable.

ADEA Waiver. Pursuant to 17 C.F.R. Section 200.83 have twenty-one (21) calendar days to consider this Agreement (although you may choose voluntarily to sign it earlier, and you agree that changes to this Agreement, whether material or immaterial, do not restart the running of the twenty-one (21) calendar day period); (iv) you have seven (7) calendar days following the date you sign this Agreement to revoke it the ADEA Waiver (by providing written notice of your revocation to methe Company’s CEO); and (v) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth calendar day after the date that this Agreement is signed by you provided that you do not revoke it (the “Effective Date”).

Since you asked for, and received, material changes in this Agreement to your benefit, you agree to waive an additional twenty-one (21)-day review period, to which you would otherwise be entitled. Accordingly, your twenty-one (21)-day review period under the ADEA will be deemed to have started on December 29, 2010, the date you received the original version of this Agreement.

ADEA Waiver. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, Federal Age Discrimination in Employment Act (“ADEA Waiver”) and that the consideration given for the waiver and release in this section ADEA Waiver is in addition to anything of value to which you are already entitled. You further acknowledge that you have been advised, as required by the ADEA, that: (ia) your waiver and release do ADEA Waiver does not apply to any rights or claims that may arise after the date that you sign this Agreement; (iib) you have a right to and should consult with an attorney prior to signing executing this Agreement (although you may choose voluntarily not to do so)Agreement; (iiic) you have twenty-one (21) 21 calendar days from the date of this Agreement within which to consider this Agreement (although you may choose voluntarily to sign it earlier, and you agree that changes to this Agreement, whether material or immaterial, do not restart the running of the twenty-one (21) calendar day period“Deadline”); (ivd) you have seven (7) 7 calendar days following the date you sign execution of this Agreement to revoke it (by providing written notice of your revocation to me)it; and (ve) this Agreement will not be effective until the date upon which the revocation period has expired, which will be the eighth calendar day after the date that this Agreement is signed by you sign it, provided that you do have not revoke revoked it (the “Effective Date”). You agree that any modifications, material or otherwise, made to this Agreement do not restart or affect in any manner the original 21-day consideration period. To revoke this Agreement, you must email a written notice of revocation to Xxxxxxx Xxxxxxxx at xxxxxxxx@xxxxxx.xxx prior to the end of the 7-day period. The severance offer will be automatically withdrawn if you do not sign this Agreement by the Deadline.

The offer of consideration will be automatically withdrawn if you do not sign this Release on the “Effective Retirement Date”).

ADEA Waiver. You hereby acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, and that the consideration given for the waiver and release you have given in this section Agreement is in addition to anything of value to which you are were already entitled. You acknowledge that you are knowingly and voluntarily waiving and releasing any rights you may have under the ADEA, Federal Age Discrimination in Employment Act (“ADEA Waiver”) and that the consideration given for the waiver and release in this section ADEA Waiver is in addition to anything of value to which you are already entitled. You agree that any modifications, material or otherwise, made to this Agreement do not restart or affect in any manner the original 21-day consideration period. The Consideration offer contained in this Agreement will be automatically withdrawn if you do not sign it by the Deadline.
