Additional Shares of Preferred Stock. While any shares of Preferred Stock are outstanding, the Corporation shall not issue any additional shares of Common Stock or convertible securities, rights, warrants, options or other commitments to issue Common Stock unless, prior to such issuance, the Corporation declares and pays a dividend on the Preferred Stock of a number of shares of Preferred Stock equal to the number of shares of Common Stock being issued or the maximum number of shares of Common Stock which may be issued pursuant to such convertible securities, rights, warrants, options or commitments; provided, however, the Corporation shall not be required to issue additional shares of Preferred Stock in connection with the issuance of Common Stock pursuant to agreements described in a Schedule to the Purchase Agreement.

  • Preferred Shares The Preferred Shares have been duly and validly authorized, and, when issued and delivered pursuant to this Agreement, such Preferred Shares will be duly and validly issued and fully paid and non-assessable, will not be issued in violation of any preemptive rights, and will rank pari passu with or senior to all other series or classes of Preferred Stock, whether or not issued or outstanding, with respect to the payment of dividends and the distribution of assets in the event of any dissolution, liquidation or winding up of the Company.
