Additional License Rights. The contractor and its subcontractors are not required to provide the Government additional rights to use, modify, reproduce, release, perform, display, or disclose technical data or computer software. However, if the Government desires to obtain additional rights in technical data or computer software, the contractor agrees to promptly enter into negotiations with the Contracting Officer to determine whether acceptable terms for transferring such rights can be reached. All technical data and computer software in which the contractor grants the Government additional rights shall be listed or described in a special license agreement made part of this contract. The license shall specifically enumerate the additional rights granted the Government.
Additional License Rights. If Licensee wishes to increase the number of Authorized Workstations, Authorized Users or Fee Based Servers, then Licensee shall submit a purchase order to Xxxxxx XX for the quantity of additional Authorized Workstations, Authorized Users and Fee-Based Servers desired at the rates and in the minimum blocks for increasing licensed usage specified in Schedule 3 (if any). Under no circumstances shall any of such rights extend beyond the period in which Distributor has the right to distribute the Software. If no rate or minimum is specified, then Xxxxxx XX and Licensee shall negotiate in good faith to determine a mutually satisfactory rate and minimum license amount, and shall both execute an amendment to this Agreement reflecting such terms in supplemental Tables A and B (numbered X-0, X-0 and so forth). Upon execution of the amendment, Licensee may (i) install the Server Software on the additional Fee-Based Servers; (ii) install the Client Software on the additional Authorized Workstations; and (iii) increase the number of Authorized Users accordingly. If Licensee increases the number of Fee-Based Servers, then Licensee shall also notify Xxxxxx XX of (a) the model, serial number and ID of the server on which the Server Software is to be installed, and its IP address, host ID and/or disk ID, and (b) the location of the Licensed Site.
Additional License Rights. In the event that Licensee acquires rights under the License Agreement to additional Authorized Workstations or Authorized Users ("Additional Seats"), Xxxxxx XX and Licensee shall both execute an amendment to this Agreement reflecting the increase in a supplemental Table A (numbered X-0, X-0 and so forth).
Additional License Rights. Effective if and when MiniMed's distribution rights under Section 5.1 become nonexclusive or MRG repurchases rights pursuant to Section 7.6.1(a), MiniMed hereby grants to MRG:
Additional License Rights. In addition to the grant of license set out in Section 6 – Grant of License of this Agreement, pursuant to a Professional/Commercial License, Licensee is entitled to use the Software for commercial purposes, including without limitation, the processing of data for third party clients.
Additional License Rights. During the Term of this Agreement, ADAM xxxees to make a good faith effort to review any CNN-NS proposal for the right to relicense the ADAM Xxxges via Television outside of the Territory; provided, however, that ADAM xxxll retain the right to negotiate such rights with any other party, and ADAM xxxll be under no obligation to enter into any agreement with CNN-NS, accept any CNN-NS offer or allow CNN-NS to match any other offer or to otherwise grant CNN-NS the right to license the ADAM Xxxges for exhibition via Television outside of the Territory.
Additional License Rights. 2.4.1 At any time during the Term, AADi may provide written notice to Abraxis requesting that a patent or patent application in the Territory Controlled by Abraxis having claims necessary for the development, manufacture or commercialization of ABI-009 or Licensed Products be included in Licensed Patents. Such written notice shall [***]. Abraxis shall consider AADi’s request in good faith and may, in its sole discretion, include such patent/patent application in Licensed Patents; provided, however, that, if such patent or patent application is [***] and was Controlled by Abraxis as of the Effective Date, Abraxis will include such patent/patent application in Licensed Patents to the extent that Abraxis is legally able to do so [***]. If a patent or patent application is added as a Licensed Patent pursuant to this Section 2.4, Abraxis will amend Exhibit 1.40 to reflect such addition. The Parties acknowledge and agree that Abraxis, in accordance with this Section 2.4, will update Exhibit 1.40 from time-to-time to reflect the issuance of patent claims that specifically claim the Licensed Product and which are considered Licensed Patents pursuant to this Agreement.
Additional License Rights. Nevron grants you a limited, nonexclusive license to distribute the assemblies in the Software, so long as you redistribute such content in its entirety and do not modify such content in any way.
Additional License Rights. In addition to the Products listed above, HSNS may license to End Users and Authorized Sublicensees, in accordance with the terms and conditions of this Agreement, the right to create a product utilizing the DLL which product cannot have any more functionality or uses or applications than any single Product of the Products listed above in Part 1, pursuant to a License Agreement or Sublicensee Agreement, each of which must be agreed to in advance in writing by LTD. Although the DLL is not a Product, the foregoing additional license rights shall be included in the definition of Product hereunder.
Additional License Rights. At such time as an Enrolled Affiliate requires a new, segregated O365 environment/tenant for SIPR, RDT&E, etc. and is consuming cloud services via an O365 service, new licenses (Windows and O365 OPP) for existing licensed users will not be required for access to those environments/tenants and the associated Cloud services. Microsoft agrees that if separate Licenses are required for the new segregated environment for users already consuming an O365 E3/E5 License, the price for those additional Licenses shall be negotiated in good faith by the parties.
