Common use of Additional Legend Clause in Contracts

Additional Legend. (a) Each certificate evidencing Shares and each certificate issued in exchange for or upon the Transfer of any Shares (if such shares remain Shares as defined herein after such Transfer) shall be stamped or otherwise imprinted with a legend in substantially the following form: “THE SECURITIES REPRESENTED BY THIS CERTIFICATE ARE SUBJECT TO A SHAREHOLDERS AGREEMENT. THE TERMS OF SUCH SHAREHOLDERS AGREEMENT INCLUDES, AMONG OTHER THINGS, RESTRICTIONS ON TRANSFERS.”

Additional Legend. (ai) Each certificate evidencing Shares and each certificate issued in exchange for or upon the Transfer Sale of any Shares (if such shares remain to an Affiliate or to any Third Party purchaser of Shares as defined herein after such Transfer) to whom rights under this Agreement are assigned pursuant to Section 10.6 of this Agreement shall be stamped or otherwise imprinted with a legend in substantially the following form: “THE SECURITIES REPRESENTED BY THIS CERTIFICATE ARE SUBJECT TO A SHAREHOLDERS SHAREHOLDERS’ AGREEMENT. THE TERMS OF SUCH SHAREHOLDERS SHAREHOLDERS’ AGREEMENT INCLUDES, AMONG OTHER THINGS, RESTRICTIONS ON TRANSFERS.”
