Additional Legal Opinions. The Shareholders and Simon shall have furnished Cyrk with opinions, dated the Closing Date and in form and substance reasonably satisfactory to Cyrk, of counsel for the Shareholders and Simon.

Additional Legal Opinions. The Agent shall have received, with a counterpart for each Issuing Bank, executed legal opinions which confirm that the Mortgages and deeds of trust filed with respect to the Collateral shall continue to constitute valid, enforceable, and duly recorded liens on the real property following the amendment and restatement of the Existing Credit Agreement and of the L/C Agreement, securing the obligations of such agreements as amended. To the extent that any supplemental deed of trust or mortgage filings are required in connection with the above described legal opinions, the Agent shall have received evidence of such recordings and filings as may be necessary, in the opinion of the Collateral Agent, to ensure the continued perfection of the Liens created by any such Mortgage. IN EACH CASE, TO BE COMPLETED 30 DAYS AFTER THE DATE OF THIS AGREEMENT.
Additional Legal Opinions. The Borrower shall deliver to the Agent and each Bank on or before February 28, 1999 legal opinions in form and substance reasonably acceptable to the Agent with respect to the Borrower's pledge of stock of its Material Foreign Subsidiaries.
Additional Legal Opinions. Following an Event of Default, the ------------------------- Borrower shall cause to be delivered such additional legal opinions from law firms satisfactory to Lender covering any and all matters which Lender in its sole discretion deems necessary including, but not limited to, questions of title, validity and adequacy of the air rights for construction and operation of the Project, insurance, interest, usury, zoning, environmental laws and regulations, and other federal, state, county and municipal laws, rules and regulations applicable to the Project or the Loan.
Additional Legal Opinions. The following sentence is hereby added to the end of SECTION 4(D) of the Agreement: At such time, the Borrower shall also provide the Bank with an opinion or opinions of counsel in form and substance satisfactory to the Bank to the effect that (i) each of the Mortgages is sufficient to create a valid lien in favor of the Bank on the interest of the grantor in the real property covered thereby and is in recordable form under the laws of the jurisdiction in which such real property is located and (ii) upon the filing of the Financing Statements in the respective offices noted thereon, the Bank will have a perfected security interest in such of the property of the debtors thereunder in which a security interest may be perfected by the filing of financing statements.
Additional Legal Opinions. Within thirty (30) days from the Execution Date, the Borrowers shall deliver to the Administrative Agent favorable written legal opinions, in a form acceptable to the Administrative Agent, from counsel for Core Laboratories Sales N.V. and Core Laboratories Canada Ltd. addressed to the Administrative Agent, the Syndication Agent, the LC Issuers and the Lenders.
Additional Legal Opinions. On or before the 10th day after the Closing Date, the Agent shall have received a duly executed copy of the legal opinion of Gxxxxxxxx Txxxxxx LLP opining as to Texas law with respect to enforceability, lien creation, lien perfection and choice of law in connection with the transactions contemplated by this Agreement and the other Loan Documents, in form and substance reasonably satisfactory to the Agent.
Additional Legal Opinions. Seller shall have delivered to Purchaser (and each other addressee) an opinion of counsel to Seller substanitally in the form of Exhibit F and, if required in order to satisfy the conditions precedent to the funding source of Purchaser, either or both of (1) an opinion of counsel to Seller addressed to and acceptable to the rating agencies rating the commercial paper of such funding source's commercial paper conduit, and addressed to NationsBank, N.A., as agent, as to the consequences of proceeding in respect of the insolvency of the Seller (or a true sale opinion, if the Seller may be a "debtor" under the U.S. Bankruptcy Code), and (2) officers' certificates of the Seller as may be requested by and acceptable to such rating agencies.
Additional Legal Opinions. FMO shall have received, if FMO so requires, a legal opinion or opinions in form and substance satisfactory to FMO with respect to such matters as FMO may reasonably request relating to that Utilization.
