Additional Jurisdictions. Additional jurisdictions may become members of this agreement by signing and accepting the terms of the agreement.
Additional Jurisdictions. In the event that a Subsidiary of Holdings is to become a party to this Guarantee as required by Section 9.11 of the Credit Agreement or otherwise and at such time such additional Guarantor is not organized in one of the jurisdictions of a Guarantor that is or has already been a signatory hereto, then the Guarantor Supplement (as defined below) to be executed and delivered by such additional Guarantor shall include guarantee limitation provisions, corporate benefit, tax and other provisions customary for such jurisdiction as the Collateral Agent and such additional Guarantor may reasonably agree based on the advice of legal counsel (which may be legal counsel for such Guarantor).
Additional Jurisdictions. Any jurisdiction not a party to this Agreement may become a party by first obtaining the unanimous approval of the Executive Committee and then securing approval of the terms in this Agreement and any accompanying amendments from its governing body.
Additional Jurisdictions. Any jurisdiction not a party to this Agreement at the time it becomes effective may become a party by first notifying the Policy Committee and then securing approval of the terms in this Agreement and any accompanying amendments from its governing body.
Additional Jurisdictions. (a) At Seller’s request, Buyer may agree, in its sole discretion, to approve Additional Jurisdictions relating to Eligible Assets in order to enter into Transactions subject to such Additional Jurisdictions. Seller shall provide Buyer with written notice of its request pursuant to this Article 30 and shall identify the requested Additional Jurisdiction(s). Upon the completion of satisfactory diligence, credit approval and consultation with legal counsel (including, without limitation, outside counsel in the relevant Additional Jurisdiction(s)) determined by Buyer in its sole discretion, Buyer shall notify Seller of its approval or non-approval of such requested Additional Jurisdiction(s). In the event that Buyer determines that such requested Additional Jurisdiction shall be an approved Additional Jurisdiction hereunder, the approval shall be effectuated upon the fulfillment of the following conditions:
Additional Jurisdictions. To the extent that the Purchaser wishes to establish registered trademark rights in jurisdictions in addition to those in which the Licensed Marks are currently registered, the Company shall take all commercially reasonable actions as may be required for the Purchaser to do so, including executing such additional documents or taking such additional actions as the Purchaser may reasonably require. The Company agrees that it does not currently, and will not during the term of this Agreement, use marks similar to the Licensed Marks in any jurisdictions outside of the jurisdictions in which the Licensed Marks are registered.
Additional Jurisdictions. 3.7.1 Prior to the Initialing Date, the Parties shall address how the DFNG may acquire additional Jurisdictions.
Additional Jurisdictions. In order to maintain the inclusion of any particular jurisdiction of the Additional Jurisdictions in the Territory after December 31, 2000, such jurisdiction must not be in a state of belligerency with Israel and must maintain diplomatic and trade relations with Israel.
Additional Jurisdictions. Additional jurisdictions may become members of this agreement by signing and accepting the terms of the agreement. Article IV. Cooperating Committee Section 1. Pursuant to section 2, Article III, the designated representatives of the participating jurisdictions shall constitute a committee that shall have the power to: (a) collect, correlate, analyze, and evaluate information resulting or derivable from research and testing activities in relation to vehicle size and weight related matters; (b) recommend and encourage the undertaking of research and testing in any aspect of vehicle size and weight or related matter when, in their collective judgment, appropriate or sufficient research or testing has not been undertaken; (c) recommend changes in law or policy with emphasis on compatibility of laws and uniformity of administrative rules that would promote effective governmental action or coordination in the field of vehicle size and weight related matters. Section 2. Each participating jurisdiction shall be entitled to one vote only. No action of the committee shall be binding unless a majority of the total number of votes cast by participating jurisdictions are in favor thereof. Section 3. The committee shall meet at least once annually and shall elect, from among its members, a chairman, a vice-chairman, and a secretary. Section 4. The committee shall submit annually to the legislature of each participating jurisdiction, no later than November 1, a report setting forth the work of the committee during the preceding year and including recommendations developed by the committee. The committee may submit such additional reports as it considers appropriate or desirable. Copies of all such reports shall be made available to the transportation committee of the western conference, council of state governments, and to the western association of state highway and transportation officials. Article V.
Additional Jurisdictions. No claim is being made by an authority in a jurisdiction where the Company does not file a return that it is or may be subject to Taxation by that jurisdiction.
