Additional Fees and Charges. 8.7.1 Notwithstanding Concessionaire's obligation to pay City any underpayment described elsewhere in this Agreement, Concessionaire shall pay City as additional fees and charges: (i) where City has paid any sum or sums, or has incurred any obligations or expenses for which the Concessionaire has agreed, either expressly or by implication, to pay or reimburse City; (ii) if City is required or elects to pay any sum or sums or incurs any obligations or expenses because of the failure, neglect or refusal of Concessionaire to perform or fulfill any of its obligations under this Agreement or (iii) if Concessionaire fails to meet the minimum expenditures required in Subsections 5.1.8 and 5.1.9.

Additional Fees and Charges. BUYER shall be responsible for the full payment of all title insurance, escrow, recording fees, documentary transfer taxes, broker commissions and other fees and charges associated with this transaction. BUYER shall indemnify, defend and hold CITY harmless from and against, and CITY shall have no liability or responsibility for any such fees, costs, taxes, or expenses.

Concessionaire shall also pay to City within 10 days after the last day of each month this Agreement exists, all other fees, charges and sums as a result of any utility and service charges, and any other expenses incurred by the City on account of Concessionaire for which City is entitled to reimbursement, and such other fees, charges, levies as are prescribed or contemplated hereunder. City shall have a lien upon all Removable Fixtures and other trade fixtures of the Concessionaire and its joint venture partners placed in each Facility, the Facility common seating support areas and the office and storage space Facilities, to the extent permitted by law, for the purpose of securing the payment of all sums of money which may due to City from Concessionaire under this Agreement.
Additional Fees and Charges. Second Party further agrees to pay all of First Party's out-of-pocket costs and expenses incurred by First Party (not to exceed the lessor of $50,000.00 or 3% of the total Lease Schedule amount) in connection with the closing of all transactions contemplated by this Lease, without limitation: (a) the fees and costs of legal counsel utilized by First Party (including in-house counsel); (b) all other out-of-pocket expenses incurred by or on behalf of First Party; and (c) a $500.00 document preparation fee for each Lease Schedule.
