Additional Condition Precedent to Conveyance of Any Portion of Subareas B and C. The Agency’s obligation to convey to the Developer any portion of Subareas B and C shall also be subject to the Agency having approved the REA’s required by Article 9 hereof. The foregoing conditions in this § 506.1 are for the sole benefit of the Agency. If any of the foregoing conditions is not satisfied for any reason, the Agency shall have the right, in its sole election, either to waive such condition and proceed to the close of escrow, or in the alternative, to pursue an agreement with the Developer to exclude the affected parcels from the Site, in which case the Parties shall proceed in accordance with Section 102(b) hereof.
