ADA Indemnification. ADA agrees to indemnify and hold Norit harmless from all claims, losses, costs and expenses that Norit may incur as a result of the above assignment and assumption. This indemnification includes the payment of all reasonable attorney's fees and out-of-pocket costs Norit may incur in enforcing this indemnification against ADA.

ADA Indemnification. Guarantor hereby agrees to indemnify and hold Bank, their respective successors and assigns and their respective members, officers, directors, employees, agents, representatives, contractors, subcontractors and attorneys harmless against any and all claims, suits, actions, proceedings, damages, expenses, demands, losses, costs, fines or liabilities of whatever kind or nature (including, without limitation, arising from personal injury, death or property damage) in any way related to or arising out of the violation or non-compliance by Leasehold Owner with, or Leasehold Owner’s failure to use reasonable efforts to cause any person or entity operating, leasing, subleasing, possessing, using or controlling all or any portion of the Premises to comply with, any applicable federal, state or local law, rule, regulation or order related to the Americans with Disabilities Act of 1990 (42 U.S.C.A. § 12101 et seq.), as amended from time to time.
ADA Indemnification. Lunchbox strives to ensure that the Services are accessible to all users, to the extent that achieving accessibility is technologically feasible. To comply with the Americans with Disabilities Act (ADA) and other federal, state, and local laws and regulations governing accessibility, Lunchbox aims to conform to the best practices set forth in the World Wide Web Consortium’s Web Content Accessibility Guidelines 2.1 (“WCAG 2.1”), Level AA. Lunchbox will indemnify Customer for damages, costs, and attorneys’ fees finally awarded against Customer for any actual third-party claim, proceeding, or suit arising out of or based on an allegation that the Services do not comply with the ADA or any other federal, state, or local law or regulation governing accessibility only if the underlying third-party claim, proceeding, or suit concerns solely the Services, and not other digital assets operated by the Customer or within the Customer’s control. Notwithstanding the provisions in Section 13.B below, Lunchbox’s liability for any claims for indemnification under this provision shall not exceed $5,000 per Order Term, and any payment made by Lunchbox in accordance with this provision shall be included in the maximum cap set forth in Section 13.B.

Expenses incurred by a Covered Person in defending any Claim shall be paid by the Company in advance of the final disposition of such Claim upon receipt by the Company of an undertaking by or on behalf of such Covered Person to repay such amount if it shall be ultimately determined that such Covered Person is not entitled to be indemnified by the Company as authorized by this Section 11.

The Third-Party Indemnitors shall be subrogated to the extent of such advancement or payment to all of the rights of recovery which Indemnitee would have had against the Company if the Third-Party Indemnitors had not advanced or paid any amount to or on behalf of Indemnitee. If for any reason a court of competent jurisdiction determines that the Third-Party Indemnitors are not entitled to the subrogation rights described in the preceding sentence, the Third-Party Indemnitors shall have a right of contribution by the Company to the Third-Party Indemnitors with respect to any advance or payment by the Third-Party Indemnitors to or on behalf of the Indemnitee.
