Activities of BISYS. The services of BISYS rendered to the Trust hereunder are not to be deemed to be exclusive. BISYS is free to render such services to others and to have other businesses and interests. It is understood that Trustees, officers, employees and Shareholders of the Trust are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in the Trust, and that BISYS may be or become interested in the Trust as a shareholder or otherwise.
Activities of BISYS. The services of BISYS rendered to Huntington hereunder are not to be deemed to be exclusive. BISYS is free to render such services to others and to have other businesses and interests. It is understood that Directors, Trustees, officers, employees and Shareholders of the Trusts or Huntington are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in the Trusts or Huntington, and that BISYS may be or become interested in the Trusts or Huntington as a shareholder or otherwise.

BISYS shall not be deemed to have notice of, or be under any duty to disclose to the Fund, or any of its agents, any fact or thing that may come to BISYS’s attention in the course of rendering services to others or in the course of its business in any other capacity. It is understood that the Fund’s Directors, officers, employees, and investors are or may be or become interested in BISYS, as officers, employees or otherwise and that directors, officers, employees, and shareholders of BISYS and its counsel are or may be or become similarly interested in the Fund as an investor or otherwise.

It is understood that Trustees, officers, employees and Shareholders of HSBC are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in HSBC, and that BISYS may be or become interested in HSBC as a Shareholder or otherwise

It is understood that trustees, officers, employees and Shareholders the Company are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in the Company as a Shareholder or otherwise.

It is understood that Trustees, Directors, officers, employees and Shareholders of the Trust and the Corporation are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in the Trust and the Corporation , and that BISYS may be or become interested in the Trust and the Corporation as a shareholder or otherwise

It is understood that Directors, officers, employees and Shareholders of the Company are or may be or become interested in BISYS, as officers, employees or otherwise and that partners, officers and employees of BISYS and its counsel are or may be or become similarly interested in the Company, and that BISYS may be or become interested in the Company as a Shareholder or otherwise Privacy Nonpublic personal financial information relating to consumers or customers of the Company provided by, or at the direction of the Company to BISYS, or collected or retained by BISYS in the course of performing its duties as transfer agent, shall be considered confidential information. BISYS shall not give, sell or in any way transfer such confidential information to any person or entity, other than affiliates of BISYS except at the direction of the Company or as required or permitted by law (including Applicable AML Laws). BISYS represents, warrants and agrees that it has in place and will maintain physical, electronic and procedural safeguards reasonably designed to protect the security, confidentiality and integrity of, and to prevent unauthorized access to or use of records and information relating to consumers or customers of the Company. The Company represents to BISYS that it has adopted a Statement of its privacy policies and practices as required by the Commission's Regulation S-P and agrees to provide BISYS with a copy of that statement annually.

BISYS is free to render such services to others and to have other businesses and interests. It is understood that Trustees, officers, employees and Shareholders of Fifth Third and/or the Company are or may be or become interested in BISYS, as officers, employees or otherwise, and that partners, officers and employees of BISYS are or may be or become similarly interested in Fifth Third, and that BISYS may he or become interested in Fifth Third as a shareholder or otherwise.
