Active Users. Your Authorized Users may not exceed the “Active User” limit specified in the Order Form. In this context, an “Active User” means an Authorized User who has an account in the platform and is also enrolled in a visible course regardless of whether the course is currently in use by Customer. Suspended Users (a User account that is deactivated so that the User can no longer access the system until the account is activated again by the site administrator) or Users with all enrollments suspended shall not be included in the Active User count. If Customer wishes to exceed the scope of use stated in this clause, Customer shall obtain LTG’s written approval in advance and such extended use shall be subject to the payment by Customer of an additional fee as determined by LTG, acting reasonably.

Active Users. During the first twelve (12) months of the term of the Agreement, Service Provider shall pay to PeopleSoft a monthly Active User Fee in the amount of [*] per Active User, unless otherwise mutually agreed. Docebo reserves the right, by notice and use of appropriate and reasonable measures, to verify the number of Active Users during any active billing period, in order to determine the Company’s compliance with Active User limitations, across one or more modules or offerings, and the Company will provide all reasonable assistance to Docebo in any exercise of such rights; provided, however, that the same shall be limited in scope and shall not interfere with the Company’s use of the Software Services or be unduly burdensome to the Company, in any fashion.
Active Users. The Number of Active Users for a given Production Instance shall not exceed the number indicated on the applicable Order. Customer acknowledges that Synergy Learning may require Customer to pay additional fees in the event the Number of Active Users for a given Production Instance exceeds the amount indicated on the applicable Order, and Customer agrees to timely pay such amounts.

Docebo reserves the right, by notice and use of appropriate and reasonable measures, to verify the number of Active Users throughout the Term, in order to determine the Customer’s compliance with Active User limitations, across one or more Services, and the Customer will provide all reasonable assistance to Docebo in any exercise of such rights; provided, however, that the same shall be limited in scope and shall not interfere with the Customer’s use of the Services or be unduly burdensome to the Customer. If any such compliance verification procedures reveal that the Customer has underpaid any fees to Docebo, then, without prejudice to the Docebo’s other rights, the Customer will pay to Docebo an amount equal to such underpayment within ten (10) business days of the date of the relevant verification.
