Actions and Suits. All claims, actions, suits, proceedings, demands, assessments, judgments, costs and expenses, including, without limitation, legal fees and expenses, incident to any of the foregoing.

Except as set forth in the BKFC SEC FILINGS and the BKFC LETTER, BKFC and the BANK are not in default in respect of any judgment, order, writ, injunction or decree of any court or any federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality.

There are no actions, suits, or proceedings pending or threatened against or affecting the Corporation at law or in equity or before or by any federal, state, municipal, or other governmental or nongovernmental department, commission, board, bureau, agency, or instrumentality that can reasonably be expected to result in any adverse change in the business, properties, operations, prospects, or assets of the Corporation or in its condition, financial or otherwise. There are no controversies pending or threatened between the Corporation and any of its employees.

Except as set forth in Section 4.17 of the DISCLOSURE SCHEDULE, CUSTAR is not in default in respect of any judgment, order, writ, injunction or decree of any court or any federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality.

Except as set forth in the SEC FILINGS and the WFC LETTER, neither WFC nor WSL is in default in respect of any judgment, order, writ, injunction or decree of any court or any federal, state, municipal or other governmental department, commission, board, bureau, agency or instrumentality.
