Action by Third Parties. Except as provided in Section 8.5 of this Agreement, the General Partner shall not be liable to the Partnership or the Limited Partners, or any of them, for any failure of any third parties to comply with the obligations of those parties pursuant to any agreements; however, the foregoing shall not apply if the General Partner was grossly negligent or failed to act in good faith in contracting with any such third party. 14.2

Action by Third Parties.
