Action at the Closing by Buyer. At or prior to the Closing, Buyer shall deliver or cause to be delivered to Buyer, or to Escrow Agent for the account of Seller all of the following, and with respect to any instruments or documents referred to below, all such items shall be dated as of the Closing Date, fully and duly executed by Buyer and, if appropriate, acknowledged:

Action at the Closing by Buyer. At the Closing, as a condition to Seller’s obligations hereunder, Buyer shall deliver or cause to be delivered to Escrow Agent for the account of Seller (if not otherwise delivered prior thereto) all of the following: (i) all funds required pursuant to the provisions of this Agreement; and (ii) such other funds, instruments, or documents as are reasonably necessary to fulfill the covenants and obligations to be performed by Buyer pursuant to this Agreement.
