Acquisition Subsidiaries. On or before the Closing Date, the Purchaser may designate (by written notice to the Sellers) one or more of its subsidiaries (each an "Acquisition Subsidiary") to receive all or part of the Assets and to assume the Assumed Liabilities; provided, however, that such designation shall not obviate the Purchaser's obligations hereunder.
