Common use of Acquired Shares Clause in Contracts

Acquired Shares. Any Shares or other voting securities of the Bank with respect to which beneficial ownership is acquired by Shareholder or its affiliates, including, without limitation, by purchase, as a result of a stock dividend, stock split, recapitalization, combination, reclassification, exchange or change of such Shares or upon exercise or conversion of any securities of the Bank, if any, after the date hereof shall automatically become subject to the terms of this Agreement.

Acquired Shares. Any Shares or other voting securities of the Bank Company with respect to which beneficial ownership is acquired by the Shareholder or its affiliates, including, without limitation, by purchase, as a result of a stock dividend, stock split, recapitalization, combination, reclassification, exchange or change of such Shares or upon exercise or conversion of any securities of the BankCompany, if any, after the date hereof shall automatically become subject to the terms of this Agreement.

Acquired Shares. Any Shares or other voting securities of the Bank Company with respect to which beneficial ownership is and the sole rights of disposition and voting are acquired by Shareholder or its affiliatesthe Shareholder, including, without limitation, by purchase, as a result of a stock dividend, stock split, recapitalization, combination, reclassification, exchange or change of such Shares or upon exercise or conversion of any securities of the BankCompany, if any, after the date hereof shall automatically become subject to the terms of this Agreement.

Any Shares or other voting securities of the Bank Merchants with respect to which beneficial ownership is acquired by Shareholder the Stockholder or its his or her affiliates, including, without limitation, by purchase, as a result of a stock dividend, stock split, recapitalization, combination, reclassification, exchange or change of such Shares or upon exercise or conversion of any securities of the BankMerchants, if any, after the date hereof shall automatically become subject to the terms of this Agreement.

Any Shares or other voting securities of the Bank Company with respect to which beneficial ownership is acquired by Shareholder or its affiliatesthe Shareholder, including, without limitation, by purchase, as a result of a stock dividend, stock split, recapitalization, combination, reclassification, exchange or change of such Shares or upon exercise or conversion of any securities of the BankCompany, if any, after the date execution hereof shall automatically become subject to the terms of this AgreementAgreement and shall become “Shares” for all purposes hereof.
