Acquired Person. On the terms and subject to the conditions of this Amendment, the definition of Acquired Person in Section 1.01 of the Existing Credit Agreement is hereby amended and restated in its entirety as follows:

Acquired Person. Any Person, property, business or asset in the Borrower’s or any Subsidiary’s line of business acquired pursuant to a transaction permitted under Section 7.4 hereof and not subsequently sold, transferred or otherwise disposed of. Acquisition. Any transaction, or any series of related transactions, consummated on or after the date hereof, by which the Borrower or any Subsidiary of the Borrower (a) acquires any going business or all or substantially all of the assets of any Person, whether through purchase of assets, merger or otherwise or (b) directly or indirectly acquires (in one transaction or as the most recent transaction in a series of transactions) at least a majority (in number of votes) of the Equity Interests of a Person which has ordinary voting power for the election of directors or other similar management personnel of a Person or a majority of the outstanding Equity Interests of a Person.
Acquired Person. The Acquired Person herein, as such term is defined in the Xxxx-Xxxxx-Xxxxxx Act, has Total Assets of less than $100,000,000 and Net Sales of less than $100,000,000 as such terms are applied in the regulations promulgated under the Xxxx-Xxxxx-Xxxxxx Act.
