Acknowledgement of Payment. The Borrower hereby expressly acknowledges that the payments made by the Lender in accordance with the instructions contained in the request for an Advance constitute such Advance to the Borrower in the amount of such payment and satisfy pro tanto the obligation of the Lender to lend sums to the Borrower hereunder.
Acknowledgement of Payment. ELXSI hereby acknowledges receipt this day of $5,550,000, constituting payment in full of the outstanding principal amount of the Subsidiary Loans plus the accrued but unpaid interest thereon. Promptly after the date hereof, the Subsidiaries will pay or cause to be paid to ELXSI the full amount of the accrued but unpaid interest on such Subsidiary Loans.
Acknowledgement of Payment. The parties acknowledge the payment made by New Jersey of 1,333,333 shares of restricted New Jersey Common Stock as follows: · Xxxx Xxxx hereby acknowledges receipt of 680,000 shares of restricted New Jersey Common Stock in the name of J-J Farms LLC; and · Xxxx Xxxxxx hereby acknowledges receipt of 653,334 shares of restricted New Jersey Common Stock in the name of Achievement Holdings LLC.
Acknowledgement of Payment. The Agent acknowledges receipt of the sum of (Pounds)4,444,444.44 paid on 31 March 1999 which has been applied against the Amortisation due on 31 December 1998 as deferred by clause 6.1.4 of the Second Amendment Agreement.
Acknowledgement of Payment. Each Selling Shareholder shall, upon receipt of such Selling Shareholder's Pro Rata Share of US$20,000,000 paid to such Selling Shareholder by Purchaser as an advance payment of the Purchase Price under and subject to the terms of the Interim Management Agreement shall deliver to Purchaser an acknowledgment and receipt thereof.

You acknowledge that you have been paid all salary, bonus and accrued vacation due to you for the period of employment through the Separation Date, except that the amount of $30,000 which may become due you as a Performance Bonus under the incentive compensation plan approved by the Company’s Board of Directors on July 12, 2007. Such amount shall be earned conditioned on, and paid not later than thirty (30) days following, the closing by the Company of a financing transaction, including a transaction involving a strategic collaboration, in which the Company receives net proceeds of not less than $5,000,000 within one hundred eighty (180) days following the Separation Date. You also will be reimbursed for all expenses incurred, submitted and approved in accordance with the Company’s policies on expense reimbursement. Such payments were or, as the case may be, will be made without any requirement that you accept this agreement.
Acknowledgement of Payment. Xxxxxx specifically acknowledges and agrees that the consideration identified in paragraphs 3, 4 and 5 above exceeds the amount Xxxxxx would otherwise be entitled to receive upon termination of Xxxxxx'x employment with Helix, and that the payments and benefits set forth above are in exchange for entering into this Agreement and Release. Xxxxxx further agrees that he will not at any time in the future seek consideration from Helix other than as set forth in this Agreement and Release. Xxxxxx specifically acknowledges and agrees that Helix has not made any representations to Xxxxxx regarding the tax or legal consequences of any consideration due to Xxxxxx or for his benefit pursuant to this Agreement and Release.

Drajeske specifically acknowledges and agrees that the consideration identified in paragraph 3 above exceeds the amount Drajeske would otherwise be entitled to receive upon termination of Drajeske's employment with Helix, and that the consideration set forth above is in exchange for entering into this Agreement and Release. Drajeske further agrees that he will not at any time in the future seek consideration Helix - Drajeske - Agreement and Release ____________ Initials from Helix other than as set forth in this Agreement and Release. Drajeske specifically acknowledges and agrees that Helix has not made any representations to Drajeske regarding the tax or legal consequences of any consideration due to Drajeske or for his benefit pursuant to this Agreement and Release.
Acknowledgement of Payment. The Consultant acknowledges that all fees and expenses properly due to the Consultant under the Appointment up to the date of this Novation Deed have been paid by the Client.
Acknowledgement of Payment. Homestore acknowledges payment and full satisfaction of all payments that are currently due or may be due and owing under any of the Ancillary Agreements or any other agreement relating to the Agreement and Plan of Reorganization. As of the date of this Agreement, Homestore acknowledges that Cendant does not owe Homestore any sums of money under any agreement, whether written or oral, except as set forth in Exhibit E.
