Common use of Accuracy of Exhibits Clause in Contracts

Accuracy of Exhibits. There are no contracts or documents that are required to be described in the Registration Statement, the Prospectus or the Disclosure Package or to be filed as exhibits thereto by the 1933 Act that have not been so described and filed as required. Notwithstanding the foregoing, as of the date hereof, the Fidus Entities have not filed certain contracts and documents as exhibits to the Registration Statement, although all such exhibits will be filed by post-effective amendment pursuant to Rule 462(d) under the 1933 Act.

There are no contracts or documents that which are required to be described in the Registration Statement, the Prospectus General Disclosure Package or the Disclosure Package Prospectus or to be filed as exhibits thereto by to the 1933 Act that Registration Statement which have not been so described and filed as required. Notwithstanding the foregoing, as of the date hereof, the Fidus Entities have Company has not filed certain contracts and documents as exhibits related to the Registration Statementoffering of the Notes as contemplated by this Agreement, although all such exhibits will be filed by post-effective amendment on or prior to the Closing Time pursuant to Rule 462(d) under of the 1933 ActAct Regulations.
