Accuracy and Adequacy of Information Disclosed to the Purchaser. All information contained in this Agreement and the Disclosure Letter and Disclosure Bundle has been supplied by the Vendors in good faith in the honest belief that the information contained in it is correct in all material respects. None of the Vendors is aware of any fact or matter or circumstances not disclosed in writing to the Purchaser which renders any such information untrue, inaccurate or misleading in any material respect.

Accuracy and Adequacy of Information Disclosed to the Purchaser. (a) All information contained in this Agreement (including the particulars set out in Schedule 1) and the Disclosure Letter and all other information disclosed in the data room (a list of the documents in the data room is set out in Annexure 3) and such documents saved on four CD-ROMs to be delivered by the Seller to the Purchaser on the date of this Agreement and signed by the Seller and the Purchaser for identification purposes) were true and accurate to the best of the knowledge of the Warrantors when given and no Warrantor is aware of any fact or matter or circumstances not disclosed in writing to the Purchaser which renders any such information untrue or inaccurate.

There is no fact known to any Loan Party that could reasonably be expected to have a Material Adverse Effect that has not been expressly disclosed herein, in the other Loan Documents or in any other documents, certificates and statements furnished to the Administrative Agent and the Lenders for use in connection with the transactions contemplated hereby and by the other Loan Documents.

All financial projections and other forward looking statements prepared by, or on behalf of the Borrower, any other Obligor or any of their respective Subsidiaries that have been or may hereafter be made available to the Agent or any Lender were or will be prepared in good faith based on reasonable assumptions. No fact or circumstance is known to the Borrower which has had, or may in the future have (so far as the Borrower can reasonably foresee), a Material Adverse Effect which has not been set forth in the financial statements referred to in Section 6.1(k) or in such information, reports or other papers or data or otherwise disclosed in writing to the Agent and the Lenders prior to the Effective Date.

The Contractor acknowledges that the Confidential Information constitutes a proprietary right, which the Company is entitled to protect. Accordingly the Contractor covenants and agrees that during the Term and thereafter until such time as all the Confidential Information becomes publicly known and made generally available through no action or inaction of the Contractor, the Contractor will keep in strict confidence the Confidential Information and shall not, without prior written consent of the Company in each instance, disclose, use or otherwise disseminate the Confidential Information, directly or indirectly, to any third party.
