Accrued Vacation Time. Such time must be used prior to the use of time under c. and d. below.
Accrued Vacation Time. Purchaser hereby agrees to satisfy when due all obligations of Seller to provide accrued paid vacation (or pay in lieu thereof) to each Hired Employee solely to the extent such accrued vacation as of the Closing Date is reflected in the final determination of the Actual Working Capital. Purchaser will give each Hired Employee credit under Purchaser’s vacation policies, for purposes of eligibility and entitlement to benefits, for such Hired Employee’s service with Seller prior to the Closing to the extent such service was credited under Seller’s policies.
Accrued Vacation Time. For each U.S. H&N Business Employee who becomes a Transferred H&N Business Employee, Fermat (or its applicable Subsidiary) shall pay any accrued unused vacation time, as of the Closing, on or timely following the Closing Date. For each Automatic Transfer H&N Business Employee and each other International H&N Business Employee who becomes a Transferred H&N Business Employee, in addition to the requirements imposed by applicable Law and except where prohibited by applicable Law, Descartes will or will cause its applicable Subsidiary to recognize and assume the Liability with respect to accrued but unused vacation time and Descartes (or its applicable Subsidiary) shall allow such Transferred H&N Business Employees to use such vacation time in accordance with the terms of Descartes’s (or its applicable Subsidiary’s) policies or programs; provided, that such vacation time shall be banked and not subject to forfeiture under such policies or programs. No later than thirty (30) days following the Closing Date, Fermat shall provide Descartes with a schedule of each Transferred H&N Business Employee’s accrued but unused vacation time that will transfer to Descartes pursuant to this Section 5.9(k).

Accrued Vacation Time. The Buyer shall be liable for any accrued but unused vacation time to which the Business Employees are entitled as of the Closing Date pursuant to the vacation policies of the Seller then in effect and applicable law, provided that the Buyer's obligations under this Section 7.6 shall only apply to such Business Employees who have been offered employment by the Buyer and who have accepted such offer of employment before the Closing Date (the "Assumed Vacation Time"). As a condition precedent to the Buyer's obligations under this Section 7.6, the Seller shall use its best efforts to obtain the written consent of each of its Business Employees for the Buyer to assume such liability, and shall provide a copy of each such written consent to the Buyer. The Buyer shall cooperate with the Seller in connection with obtaining such written consents and the delivery of any requests therefor concurrently with the Buyer's offers of employment pursuant to Section 7.1. The Buyer hereby agrees that for the three-month period commencing on the Closing Date, it shall not employ, or offer to employ, any Business Employee that (a) did not accept the Buyer's offer of employment pursuant to Section 7.1 and (b) was paid by the Seller for all accrued but unused vacation time to which such Business Employee was entitled as of the Closing Date pursuant to the vacation policies of the Seller then in effect and applicable law.

Accrued Vacation Time. The Board agrees that in the event a lead driver voluntarily leaves the employ of the Board before the vacation period, and provided that the lead driver gives not less than two (2) weeks' notice of his/her intent to leave, he/she shall be compensated for any accrued vacation time that may be due him/her in accordance with the above schedule.
Accrued Vacation Time. Executive shall receive payment, within fifteen --------------------- (15) days after the Effective Date, of all of Executive's unused available prior-accrued vacation as stated in the Company's payroll records as of the date of execution hereof, plus Executive's additional accrued vacation allocated through the Effective Date, pursuant to the Company's standard policy, based upon Executive's Base Salary.
Accrued Vacation Time. The Company will pay the Executive the value of any unused vacation time he has accrued on the next regular payday following the Termination Date.
