Accompanying Documentation. Where Eligible Securities are delivered to the Collateral Agent under Section 2.01, 2.03 or Section 2.05, such securities shall be accompanied by the appropriate instruments of transfer executed in blank and in a form satisfactory to the Collateral Agent and by such other instruments and documents as the Collateral Agent may reasonably request. All other property delivered to the Collateral Agent under Section 2.01, 2.03 or Section 2.05 and comprising part of the Pledged Collateral shall be accompanied by proper instruments of assignment duly executed by National Rural and such other instruments or documents as the Collateral Agent may reasonably request.
Accompanying Documentation. Where Eligible Instruments are delivered to the Collateral Agent under Section 3.03 or Section 3.05, such securities shall be accompanied by the appropriate instruments of transfer executed in blank and in a form satisfactory to the Collateral Agent and by such other instruments and documents as the Collateral Agent may reasonably request. All other property delivered to the Collateral Agent under Section 3.03 or Section 3.05 and comprising part of the Pledged Collateral shall be accompanied by proper instruments of assignment duly executed by the Borrower and such other instruments or documents as the Collateral Agent may reasonably request.
Accompanying Documentation. With each shipment of the Licensed Products, BMPI shall provide Luitpold with (a) commercially appropriate shipping documentation, including, without limitation, bills of lading and any additional documentation reasonably requested by Luitpold, (b) a Certificate of Analysis for each batch that shall record conformance of the shipment with the Specifications in Exhibit B, the QSR and/or cGMP and (c) an invoice for the amount of Licensed Products delivered in such shipment. Containers shipped with the Licensed Products shall be properly marked by BMPI as reasonably requested by Luitpold.
Accompanying Documentation. Each cheque shall be accompanied by written reports as specified in paragraph 6.1 (Reports & Records).
Accompanying Documentation each cheque shall be accompanied by a statement bearing the name / identification of this License Agreement and the Licensed Rights, and showing the period covered, the total sales, per country sales, the per country royalty applicable and the total royalty paid or consideration paid, as applicable.
Accompanying Documentation. With each shipment of Product, Innocoll shall provide EUSA with all appropriate shipping documentation, including bills of lading, and with such certificates of analysis and other appropriate documentation identifying the applicable Batch numbers, confirming that the Product has been QP released and indicating conformance of the shipment with the Specifications, and all Regulatory Standards and, at EUSA’s request, Innocoll shall provide EUSA with reasonable access to any applicable supporting data.
Accompanying Documentation. With each shipment of Product, WuXi Biologics shall provide Client with a Certificate of Compliance and with 1) a Certificate of Analysis (if lot release testing is performed by WuXi Biologics) or 2) a Certificate of Testing (if Client requests only selected lot release testing to be performed by WuXi Biologics), as applicable, duly signed or released by a Qualified Person in accordance with cGMP, that sets forth the analytical test results for each specified lot of Product delivered to Client hereunder and confirms that such Products have been manufactured in accordance with the Specifications unless otherwise requested by Client.
Accompanying Documentation. With each shipment of Licensed Product, NIBEC shall provide KEYSTONE DENTAL with (a) commercially appropriate shipping documentation, including, without limitation, bills of lading and any additional documentation reasonably requested by KEYSTONE DENTAL, (b) a Certificate of Analysis for each batch, and a warranty that the Licensed Product provided in each shipment is free from defects; (c) a Certificate of Conformance that shall record conformance of the shipment with the Specifications in Schedule 4.2; the QSR and/or cGMP and Regulatory Approvals for the Licensed Product; and (d) an invoice for the amount of Licensed Product delivered in such shipment. Containers shipped with Licensed Product shall be properly marked as reasonably requested by KEYSTONE DENTAL. NIBEC shall include a copy of the USDA import for the Licensed Product obtained by KEYSTONE DENTAL pursuant to Section 6.5 with each shipment.
Accompanying Documentation. Each delivery of API shall be accompanied by (i) a Certificate of Analysis, (ii) a Certificate of Compliance, (iii) such other documents as may be required pursuant to the Quality Agreement, and (iv) documentation necessary for the sale or export of the API, as applicable.
Accompanying Documentation. With each shipment of Products, Alphatec shall provide Globus with commercially appropriate shipping documentation, including bills of lading, and with such certificates of analysis and other appropriate documentation identifying the applicable batch numbers, indicating conformance of the shipment with the Specifications, cGMPs, and all regulatory standards, and, at Globus’s request, Alphatec shall provide Globus with reasonable access to any applicable supporting data. Globus shall be under no obligation to accept any shipment of Products for which Alphatec has not provided appropriate shipping documentation or as to which Globus reasonably believes such tendered Products do not comply with the then-current Specifications.
