Accession Agreements amend each Accession Agreement to remove the restriction which prevents:
Accession Agreements. (a) Each Secured Debt Holder Group Representative shall enter into an Accession Agreement substantially in the form set out in Part A of Schedule 2.8(a).
Accession Agreements. (i) the Borrower’s Debt to Equity Ratio shall not exceed the ratio of 75:25 taking into account the incurrence of such Train 6 Debt but without regard to any outstanding Indebtedness comprising Working Capital Debt; and
Accession Agreements. (a) Each Senior Secured Debt Holder Representative that is not party to this Agreement on the date hereof shall enter into (i) a Common Terms Accession Agreement substantially in the form set out in Exhibit A, and (ii) a CIA Accession Confirmation substantially in the form set out in Exhibit A to the Collateral and Intercreditor Agreement.
Accession Agreements. The Administrative Agent shall have received true, correct and complete copies of the Common Terms Accession Agreement and the CIA Accession Confirmation, each of which shall have been duly authorized, executed and delivered by the Administrative Agent as Senior Secured Debt Holder Representative or Senior Secured Creditor Representative (as applicable) on behalf of the Senior Lenders.
Accession Agreements. 3.1 Before or at the start of the PLP’s business in a new Agreed Territory, the Océ Affiliate and the DLL Affiliate involved will enter into an agreement (“Accession Agreement”) by which they commit to adhere to the terms and conditions of this PLPA. The template of an Accession Agreement has been attached as Annex 4. Such Accession Agreements need to be approved and countersigned by the Parties.
Accession Agreements. The union does not undertake to conclude a collective agreement with enter- prises not covered by the collective service agreement on more lenient terms than those set out in the collective service agreement. At the request of the employers’ organisations, the union must twice a year submit an overview of concluded accession agreements. In their agreements with sub-suppliers, the enterprises covered by the collec- tive agreement must ensure that the sub-suppliers have knowledge of the col- lective service agreement.
Accession Agreements. To the extent not delivered as of the Other Amendments Effective Date, within sixty (60) days after the Other Amendments Effective Date (unless such time requirement shall have been waived or extended by the Administrative Agent in its reasonable discretion), the Borrowers shall, or shall cause the applicable Loan Party to (other than with respect to the German Guarantor and its Subsidiaries, which shall be governed by Section 5.14 of the Initial Amended Credit Agreement), deliver accession agreements relating to the Reaffirmation Agreement or other agreements that the Administrative Agent, in consultation with counsel, reasonably determines are necessary to ensure the continuation of any guaranty and the continuation and perfection of any Lien and substantially similar to those delivered previously under the Original Credit Agreement.
Accession Agreements. Each holder of Alacrity Common Stock or -------------------- Preferred Stock who is not a Shareholder shall have executed and delivered to TranSwitch the written agreement of such holder to become a party to this Agreement, as if such holder were a Shareholder hereunder, and to become a party to the Escrow Agreement.
Accession Agreements. (a) Delivery of any Accession Agreement will constitute confirmation by the relevant Additional Guarantor and the Borrower that (as at the date of the delivery):
