ACCESS AND SERVICE. After acceptance of the Software and Content, which shall take place concurrently with delivery of the Software and Content to Licensee or Licensee's agent, CGS shall have no further obligation to modify the Software except as otherwise expressly provided for in this Agreement. Hardware Warranty/Content/ Technical Support (the “Package”) may be made available by CGS on a monthly basis at an additional charge. If Licensee does not obtain the Package, any support calls will be charged to Licensee at CGS’s standard hourly rate (currently $695/hr, minimum of one hour charged). In the event of a service problem of any kind, Licensee shall immediately notify CGS of the problems and symptoms. In its sole discretion, CGS will use commercially reasonable efforts to resolve any problems with Software or Content as soon as practicable after notice thereof to the extent such problem or outage is caused by CGS or others acting under CGS’s control. Licensee shall provide to CGS, at no cost to CGS, reasonable access from its offices to remotely monitor the use of CGS Content by Licensee.

ACCESS AND SERVICE. Customer must provide GDMS with access to the Product to enable GDMS to provide the service. Access may include access via the Internet, on-site access or Customer shall be responsible for returning the Product to GDMS. GDMS will notify the Customer to obtain authorization to perform any repairs. If, during the warranty period, as established by the date of shipment, the Customer finds any significant defect in materials and workmanship under normal use and operating conditions, the Customer shall notify GDMS Customer Service in accordance with the GDMS Service Policies in effect at that time.
ACCESS AND SERVICE. Subject to the terms of this Agreement, including without limitation the payment of Fees as set forth in Section 10, Waterford hereby grants to Customer a non-sublicensable, non- transferable, non-exclusive subscription to access and use the Waterford Products by Customer and/or the number of Users specified in the Order Documents solely for Customer’s provision of education and learning services and the instruction of its Users. Customer agrees that its purchase of the subscription is neither contingent upon the delivery of any future functionality or features nor dependent upon any statement or representation made by Waterford with respect to future functionality or features of the Products.

  • Use of Basement and Service Areas The basement(s) and service areas, if any, as located within the (project name), shall be earmarked for purposes such as parking spaces and services including but not limited to electric sub-station, transformer, DG set rooms, underground water tanks, pump rooms, maintenance and service rooms, fire fighting pumps and equipment's etc. and other permitted uses as per sanctioned plans. The Allottee shall not be permitted to use the services areas and the basements in any manner whatsoever, other than those earmarked as parking spaces, and the same shall be reserved for use by the association of allottees formed by the Allottees for rendering maintenance services.

  • The Web Services E-Verify Employer Agent agrees to, consistent with applicable laws, regulations, and policies, commit sufficient personnel and resources to meet the requirements of this MOU.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.

  • Content and Services Neither Licensor nor the provider of the wireless network is the provider of any financial services available through or related to the Software, and neither Licensor nor the provider of the wireless network or any contractor of the provider of the financial services available through or related to the Software, is responsible for any of the materials, information, products or services made available to you via the Software.

  • System Access CUSTOMER agrees to provide to PROVIDER, at CUSTOMER’S expense, necessary access to the mainframe computer and related information technology systems (the “System”) on which CUSTOMER data is processed during the times (the “Service Hours”) specified in the PSAs, subject to reasonable downtime for utility outages, maintenance, performance difficulties and the like. In the event of a change in the Service Hours, CUSTOMER will provide PROVIDER with at least fifteen (15) calendar days written notice of such change.

  • Service Areas The MCP agrees to provide services to Aged, Blind or Disabled (ABD) members, Modified Adjusted Gross Income (MAGI) members, and Adult Extension members residing in the following service area(s): Central/Southeast Region ☒ Northeast Region ☒ West Region ☒ The ABD and MAGI categories of assistance are described in OAC rule 5160-26-02. The Adult Extension category is defined in Ohio’s Medicaid State Plan as authorized by the Centers for Medicare and Medicaid Services (CMS). The MCP shall serve all counties in any region they agree to serve.

  • Network Access TENANT may find it necessary to purchase a network interface card, wireless PC card or other hardware in order to connect to the internet service. LANDLORD is not responsible for the purchase of these items and LANDLORD cannot guarantee compatibility with any device TENANT may have. The computer and network card must have software installed that supports the Internet Protocol commonly referred to as TCP/IP. Any conflicts between the software compatibility of the network and the TENANT’S computer operating system or any other feature will be the responsibility of the TENANT to resolve. LANDLORD will not be responsible for software issues related to the user’s personal computer.

  • Switching System Hierarchy and Trunking Requirements For purposes of routing iNetworks traffic to Verizon, the subtending arrangements between Verizon Tandems and Verizon End Offices shall be the same as the Tandem/End Office subtending arrangements Verizon maintains for the routing of its own or other carriers’ traffic (i.e., traffic will be routed to the appropriate Verizon Tandem subtended by the terminating End Office serving the Verizon Customer). For purposes of routing Verizon traffic to iNetworks, the subtending arrangements between iNetworks Tandems and iNetworks End Offices shall be the same as the Tandem/End Office subtending arrangements that iNetworks maintains for the routing of its own or other carriers’ traffic.

  • User Access Transfer Agent shall have a process to promptly disable access to Fund Data by any Transfer Agent personnel who no longer requires such access. Transfer Agent will also promptly remove access of Fund personnel upon receipt of notification from Fund.
