Common use of Acceptance of Employment by the Executive Clause in Contracts

Acceptance of Employment by the Executive. The Executive accepts such employment and shall render the services described above. Subject to election by the Company’s Board of Directors as such, the Executive shall also serve during all or any part of the Term (as defined below) as an officer of the Company and of any of its subsidiaries, without any compensation therefore other than as specified in this Agreement. The Executive shall be nominated to the Board of Directors of the Company and, subject to election by the stockholders of the Company, shall serve as a director of the Company during the Term, and at the discretion of the Company, shall serve as a director of any one or more of the Company’s subsidiaries, without any compensation therefore other than as specified in this Agreement. Notwithstanding the foregoing, if the Executive is no longer employed by the Company as the President or otherwise servicing the Company as a full-time consultant, the Executive shall, upon request of the Company, promptly resign from the Board of Directors of the Company and/or any of its subsidiaries.
