Acceptance of Assignment. Subject to the terms hereof the Lessor accepts the assignment contained in this Section 2.
Acceptance of Assignment. Assignee accepts the foregoing assignment of the Lease [insofar (and only insofar) as the Lease pertains to the Assigned Premises] and covenants with Assignor, from and after the Effective Date, to pay all rent and other charges provided for in the Lease, as amended and to perform and observe all of the other covenants, conditions and provisions in the Lease, as amended, to be performed or observed by or on the part of Assignor as tenant under the Lease [in respect of the Assigned Premises].
Acceptance of Assignment. From and after the Distribution Date, Donnelley Financial hereby irrevocably, absolutely and unconditionally assumes, undertakes and agrees to pay, perform and discharge in full any and all claims and obligations arising under and/or in connection with the Severance Agreement.
Acceptance of Assignment. Subject to the terms hereof, Assignee accepts the assignment contained in this Clause 2.
Acceptance of Assignment. From and after the Distribution Date, LSC hereby irrevocably, absolutely and unconditionally assumes, undertakes and agrees to pay, perform and discharge in full any and all claims and obligations arising under and/or in connection with the Employment Agreement.
Acceptance of Assignment. The undersigned Assignee hereby accepts the above assignment of all right, title and interest of the Assignor therein and to the Agreement, by and between such Assignor and the Corporation, and the undersigned hereby agrees to be bound by all of the terms and conditions of said Agreement, as if the original employee party thereto. Acceptance of Assignment. Assignee hereby accepts the assignment of the Contracts and Project Documents, and Assignee assumes and agrees to keep, perform and fulfill all of the duties, covenants, provisions, conditions and obligations of Assignor contained therein which arise or are incurred or are related to events occurring from and after the Effective Date.
Acceptance of Assignment. Assignee hereby irrevocably purchases, accepts and assumes the Assigned Interest and from the date hereof agrees to perform and be bound by all the terms, conditions and covenants of and assumes the duties and obligations of the Assignor with respect to the Assigned Interest.
Acceptance of Assignment. The undersigned Assignee hereby accepts the above assignment of all right, title and interest of the Assignor therein in and to the Plan, by and between such Assignor and the Corporation, and the undersigned hereby agrees to be bound by all of the terms and conditions of said Plan, as if the original Participant party thereto. ____________________________ Assignee Dated:_____________ CONSENT TO ASSIGNMENT The undersigned Corporation hereby consents to the foregoing assignment of all of the right, title and interest of the Assignor in and to the Plan, by and between the Assignor and the Corporation, to the Assignee designated therein. The undersigned Corporation hereby agrees that from and after the date hereof, the undersigned Corporation, shall look solely to such Assignee for the performance of all obligations under said Plan which were heretofore the responsibility of the Assignor, shall allow all rights and benefits provided therein to the Assignor to be exercised only by said Assignee, and shall hereafter treat said Assignee in all respects as if the original Participant party thereof.
