Accelerated Vesting of Stock Awards. Notwithstanding any provision of this Agreement to the contrary, in (A) the award agreement for the Stock Award or (B) the plan under which the Stock Award was granted, with respect to Executive, each outstanding Stock Award held by Executive immediately before the Termination Date and not yet exercised or forfeited (as the case may be) will automatically accelerate and become fully vested, exercisable, and nonforfeitable as of the Termination Date, or in the event of an Anticipatory Termination as of the date of the occurrence of the Change of Control (in each case, to the extent the Stock Award was not already fully vested and exercisable at such time), to the same extent as though all requisite time had passed to fully vest the Stock Award or cause it to become exercisable or nonforfeitable.

Accelerated Vesting of Stock Awards. (i) In the event of a Change in Control, the vesting and/or exercisability of one hundred percent (100%) of Executive’s outstanding Stock Awards shall be automatically accelerated immediately prior to the Change in Control.
Accelerated Vesting of Stock Awards. Any outstanding unvested Equity Awards shall accelerate and become vested with respect to 100% of the then unvested shares subject thereto as set forth in the Plan.
Accelerated Vesting of Stock Awards. The vesting and exercisability of all outstanding stock options and other stock awards covering the Company’s common stock that are held by Executive as of immediately prior to the Involuntary Termination, to the extent such awards are subject to time-based vesting requirements, shall be accelerated (and lapse, in the case of reacquisition or repurchase rights) as if Executive had completed an additional twelve (12) months of service with the Company as of the date of Executive’s Involuntary Termination.
Accelerated Vesting of Stock Awards. As of the date of a Change in Control, all stock option and restricted stock awards held by the Executive shall become vested and nonforfeitable, to the extent that such vesting is permitted under the terms of the plans pursuant to which such awards were granted. If such vesting is not permitted under the terms of the plans, and on or after the date of the Change in Control the Executive forfeits unvested options or restricted stock awarded prior to the date of the Change in Control, the Executive shall be entitled to a cash payment equal to (i) in the case of options, the excess of the fair market value of the option shares forfeited over the exercise price thereof, and (ii) in the case of restricted stock, the fair market value of such stock, with fair market value in either case determined as of the forfeiture date in accordance with the terms of the plan pursuant to which the award was made. Such cash payment shall be made as soon as practicable after the date of forfeiture.
Accelerated Vesting of Stock Awards. (1) Effective as of the date of your Covered Termination, (i) the vesting and exercisability of all outstanding stock options to purchase the Company’s common stock that are held by you on such date shall be accelerated in full, (ii) any reacquisition or repurchase rights held by the Company in respect of common stock issued pursuant to any other stock award granted to you by the Company shall lapse in full, and (iii) the vesting of any other stock awards granted to you by the Company, and any issuance of shares triggered by the vesting of such stock awards, shall be accelerated in full. Notwithstanding the foregoing, this Section 1(b) shall not apply to stock awards issued under or held in any Qualified Plan.
Accelerated Vesting of Stock Awards. If you are subject to a Covered Termination which is effective on or within twelve (12) months following a Change in Control, and you meet all requirements for receipt of the Severance Benefits under the Schedule (including but not limited to the requirement to execute and return a release), the following shall apply: the vesting (and exercisability, if applicable) of all outstanding options to purchase the Company’s ordinary shares, stock appreciation rights or similar rights or other rights with respect to the Company’s ordinary shares, and any other stock awards granted to you pursuant to any equity incentive plan of the Company, including but not limited to restricted stock units (collectively, the "Stock Awards"), that are held by you on the date of your Covered Termination shall be accelerated in full. The vesting (and exercisability, if applicable) of any Stock Award which shall be accelerated pursuant to this Agreement shall occur on the sixtieth (60th) day following the date of your Covered Termination. Notwithstanding anything to the contrary set forth in any applicable equity incentive plan of the Company or any agreement evidencing a Stock Award, in the event of your Covered Termination (and in order to give effect to the intent of this provision), in no event will any portion of your Stock Award be forfeited or terminate any earlier than the sixtieth (60th) day following the date of your Covered Termination.

Accelerated Vesting of Stock Awards. (1) Effective as of the effective date of your Release, to the extent not previously vested and notwithstanding anything to the contrary set forth in an applicable award agreement or the applicable Equity Plan under which such award was granted, the restrictions and conditions applicable to any equity awards of the Company held by you (the “Awards”), shall lapse and such Awards shall immediately be fully vested upon a Change in Control and any performance-based Award shall be deemed fully earned at the target amount as of the date on which the Change of Control occurs (collectively, the “Vested Awards”). Unless determined otherwise by the Plan Administrator in accordance with the terms of the applicable Equity Plan (such as to provide for a cash-out of vested options) or as otherwise set forth in the Plan, (ii) all Vested Awards that are stock unit awards or other stock-based awards shall be settled or paid within thirty (30) days of vesting hereunder, and (iii) all Vested Awards that are options and stock appreciation rights shall remain exercisable until the earlier of the third anniversary of such Change in Control (or any later date until which it would remain exercisable under such circumstances by its terms) or the expiration of its original term. Notwithstanding the foregoing, this Section 2(c) shall not apply to stock awards issued under or held in any Qualified Plan.
Accelerated Vesting of Stock Awards. 3.3.1 The vesting and exercisability (if applicable) of all outstanding and unvested stock based awards (“Outstanding Stock Awards”) granted under Aduro’s equity incentive plans (to the extent such awards are outstanding, assumed, substituted or otherwise continued in connection with a Change in Control, each an “Assumed Award”) that are held by Employee on the Separation Date will become 100% vested and exercisable (if applicable) on the Separation Date. In the event that an Outstanding Stock Award is not assumed, substituted or otherwise continued in connection with a Change in Control and as a result does not become an Assumed Award, the vesting and exercisability of such Outstanding Stock Award will become 100% vested and exercisable (if applicable) immediately prior to the effective time of the Change in Control. Notwithstanding the foregoing, any vesting acceleration with respect to equity awards held by Employee that were granted on February 21, 2020 shall be solely with respect to that number of shares that would have vested and become exercisable had Employee’s service with the Company continued through February 21, 2021.

This Section 3.8.1(ii) shall not apply to the Initial Award, which shall be governed by the terms of the applicable award agreement.
