6No Fractional Share Sample Clauses

6No Fractional Share. No fractional share shall be issuable upon conversion of the Notes and the number of Conversion Shares to be issued shall be rounded down to the nearest whole Common Share. If a fractional share interest arises upon any conversion of the Notes, the Company shall eliminate such fractional share interest by paying the Purchaser in cash the amount computed by multiplying the fractional interest by (a) the Fair Market Value Per Common Share, less (b) the then-effective Conversion Price.
