5Governing Law. This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario.

5Governing Law. This The Agreement will be governed by and construed in accordance with the laws laws, other than choice of law rules, of the Province of Ontario. Any matter regarding the interpretation and application of the Agreement and all disputes arising under or in connection with the Agreement will be in within the exclusive jurisdiction of the courts of the Province of Ontario. The Parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario for any and all Claims arising under or in connection with the Agreement.
