1Consideration. The “Consideration” shall be the sum of Seventy-one Million Thirty-seven Thousand and 00/100 Dollars ($71,037,000.00), which purchase price shall be allocated to each individual Property as set forth in Exhibit 4.1 attached hereto. The parties shall make the prorations and allocations set forth in this section as a credit or debit to the Consideration. The balance of the Consideration shall be paid by Buyer to Escrow Agent, to be released to Seller at Closing, by wire transfer of immediately available funds by not later than 12:00 p.m.
