1Collaboration Clause Samples

1Collaboration. The Parties agree to collaborate on the conduct of four (4) Programs under this Agreement: (a) the GBA1 Program; and (b) three (3) New Discovery Programs. The Development, Manufacturing and Commercialization activities for Collaboration Candidates and Products conducted pursuant to this Agreement under all four (4) Programs, as well as any such activities conducted pursuant to any Co-Co Agreement, together, shall constitute the “Collaboration”.
1Collaboration. The Parties intend to collaborate and work together as further set out in this Agreement to provide the Eversense® system to patients in the applicable Territory. As further set out in this Agreement, Senseonics will be responsible for Product development and clinical work and have all responsibility for manufacturing, and Ascensia will have primary responsibility, pursuant to the Transition Services Agreement, for sales and marketing of the Products in the applicable Territory. In exercising these roles, the Parties will collaborate and use commercially reasonable efforts to fulfill its respective obligations hereunder. The Parties acknowledge that certain costs incurred by Ascensia are being paid by Senseonics under the Transition Services Agreement as set forth in that Agreement.
1Collaboration. The Parties intend to collaborate and work together as further set out in this Agreement to provide the Eversense® system to patients globally and seek to grow the sales for the Products to reach their potential in the global market. As further set out in this Agreement, Senseonics will be responsible for Product development and clinical work and have primary responsibility for manufacturing, and Ascensia will have primary responsibility for sales and marketing of the Products in the Territory. The Parties shall be responsible for their respective roles and responsibilities as set forth on Exhibit D hereto. In exercising these roles, the Parties will collaborate and jointly seek to promote the best interest of the venture as detailed below. Each Party shall assist and cooperate with the other Party as such other Party may reasonably request from time to time in connection with its activities set forth on Exhibit D and this Section 2.1, including by providing access to relevant documents and making its employees available with reasonable advance notice at reasonable business hours. Each Party shall keep the other Party reasonably apprised of the progress and status of its activities hereunder.
