Common use of 144A Information Clause in Contracts

144A Information. The Indenture Trustee shall provide to any Holder of a Class B-2 Note and any prospective transferee designated by any such Holder information regarding the Class B-2 Notes and the Home Loans and such other information as shall be necessary to satisfy the condition to eligibility set forth in Rule 144A(d)(4) under the Securities Act for transfer of any such Note without registration thereof under the Securities Act pursuant to the registration exemption provided by Rule 144A under the Securities Act. Each Holder of a Class B-2 Note desiring to effect such a transfer shall, and does hereby agree to, indemnify the Issuer, the Owner Trustee, the Indenture Trustee and the Depositor against any liability that may result if the transfer is not so exempt or is not made in accordance with federal and state securities laws.
