10b-17 NOTICE. Merry Land shall give any notice required under Rule 10b-17 promulgated under the Exchange Act of the record date for determining the holders of Merry Land Common Shares entitled to receive the distribution of the shares of Spinco owned by Merry Land. The parties shall co-operate in establishing the date for the Closing Date in order to facilitate compliance with said Rule.
