Voluntary Resignation means any Termination by Employee for any reason other than a Constructive Termination.

Voluntary Resignation means, in respect of a director or employee of the Company or any of its Affiliates, the voluntary resignation of that director or employee (or voluntary termination of the arrangements pursuant to which his services are provided to the Company and/or any of its Affiliates) in circumstances other than where the Company or any of its Affiliates would have been entitled to effect a Dismissal or Termination in respect of such director or employee.

Voluntary Resignation means a termination by the Executive of the Executive’s employment with the Surviving Entity by voluntarily resigning or retiring at the Executive’s own instance without having been requested to so resign or retire by the Surviving Entity, except a resignation or retirement by the Executive shall not be deemed to be a “Voluntary Resignation” if it occurs (i) at a time when the Executive is entitled to terminate the Executive’s employment for Good Reason or (ii) during the 30 day period set forth in Section 4(a) of this Agreement.
