The Company is the sole and exclusive owner of all right, title and interest in and to all Company Owned Intellectual Property and, and subject to the execution of the Trademark Assignment and the Assignment, has valid rights, pursuant to a written Contract to use all other Intellectual Property (the “Licensed Intellectual Property”) as the same is used by and necessary for the Business as presently conducted.
