Selling Shareholders definition

Selling Shareholders sections in substantially the form attached hereto as Exhibit B. The Company shall use its reasonable best efforts to have the Initial Registration Statement declared effective by the SEC as soon as practicable, but in no event later than the Initial Effectiveness Deadline. By 9:30 a.m. New York time on the Business Day following the Initial Effective Date, the Company shall file with the SEC in accordance with Rule 424 under the 1933 Act the final prospectus to be used in connection with sales pursuant to such Initial Registration Statement.

• Upon the consummation of the purchase of any portion of a Selling Shareholder's Offered Shares pursuant to the Right of First Refusal, the Selling Shareholder will have no further rights in such Offered Shares that were purchased except the right to receive payment for such Offered Shares in accordance with the terms of this Agreement, and the Selling Shareholder will forthwith cause all certificate(s) (if any) evidencing such Offered Shares to be surrendered to the Company for transfer.

• However, the Managers and their respective Affiliates shall not be liable in any manner whatsoever for any acts or omissions of any other advisor appointed by the Company or the Promoter Selling Shareholders.

More Definitions of Selling Shareholders
