PubCo Holdings Group definition

PubCo Holdings Group means PubCo and each Subsidiary of PubCo (other than the Company and its Subsidiaries).

PubCo Holdings Group means PubCo, Managing Member Blocker and each other Subsidiary of PubCo (other than the Company and its Subsidiaries).

PubCo Holdings Group means PubCo and each other Subsidiary of PubCo (other than Holdings and its Subsidiaries). “Quarterly Computation Period” means each period of four consecutive fiscal quarters ending on the last day of a fiscal quarter.

Examples of PubCo Holdings Group in a sentence

• PubCo (or such designated member(s) of the PubCo Holdings Group) shall be treated for all purposes of this Agreement as the owner of such Units; provided that if the Cash Election Amount is funded other than through the issuance of Class A Shares, such Units will be reclassified into another Equity Security of the Company if the Managing Member determines such reclassification is necessary.

• For the avoidance of doubt, any payments made to or on behalf of the Managing Member or any other member of the PubCo Holdings Group pursuant to this Section 6.9 shall not be treated as a distribution pursuant to Section 5.1(a) but shall instead be treated as an expense of the Company.

• Except as otherwise set forth in Section 3.1(e) with respect to the obligations of the PubCo Holdings Group, no Member shall be required to make additional Capital Contributions.

• The timely delivery of a Retraction Notice shall terminate all of the Redeeming Member’s, the Company’s and PubCo’s (and any other member of the PubCo Holdings Group, as applicable) rights and obligations arising from the retracted Redemption Notice.
