Opportunity to Review; Reliance. The Stockholder has had the opportunity to review the Merger Agreement and this Agreement with counsel of its own choosing. The Stockholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon the Stockholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Each Shareholder has had the opportunity to review this Agreement and the Merger Agreement with counsel of his or its own choosing. Each Shareholder understands and acknowledges that Parent is entering into the Merger Agreement in reliance upon such Shareholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. The Voting Stockholder has had the opportunity to review this Agreement and the Merger Agreement with counsel of his or its own choosing. The Voting Stockholder understands and acknowledges that Parent is entering into the Merger Agreement in reliance upon the Voting Stockholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Each Shareholder acknowledges and confirms receipt of the Transaction Agreement and represents that it has had (a) the opportunity to review, and has read, reviewed and understands, the terms and conditions of the Transaction Agreement and this Agreement, and (b) the opportunity to review and discuss the Transaction Agreement, the Transaction and this Agreement with its own advisors and legal counsel. Each Shareholder understands and acknowledges that the Company and Bidco are entering into the Transaction Agreement in reliance upon the Shareholders’ execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Such Stockholder has had the opportunity to review the APA and this Agreement with counsel of his, her or its own choosing. Such Stockholder understands and acknowledges that Buyer and Parent are entering into the APA in reliance upon such Stockholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Such Stockholder has had the opportunity to review the Merger Agreement, each ancillary agreement to which it is a party and this Agreement with counsel of its own choosing. None of Parent, Merger Sub or the Company, or their respective counsel or other Representatives, has provided advice (whether legal, financial or otherwise) to such Stockholder with respect to this Agreement or the validity or effect of this Agreement or any of the transactions contemplated hereby. Such Stockholder understands and acknowledges that Parent and Merger Sub are entering into the Merger Agreement in reliance upon such Stockholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Such Stockholder has had the opportunity to review the Tender Offer Agreement and this Agreement with counsel of its own choosing. Such Stockholder understands and acknowledges that Offeror is entering into the Tender Offer Agreement in reliance upon such Stockholder’s execution, delivery and performance of this Agreement.
Opportunity to Review; Reliance. Shareholder has had the opportunity to review this Agreement and the Transaction Agreement with counsel of Shareholder’s own choosing.
Opportunity to Review; Reliance. The Voting Stockholder has had the opportunity to review this Agreement with counsel of his or its own choosing.
Opportunity to Review; Reliance. Each Stockholder has had the opportunity to review this Agreement and the LOI with counsel of its own choosing. Each Stockholder understands and acknowledges that Magic Hat is entering into the LOI in reliance upon the Stockholder's execution, delivery and performance of this Agreement.
