Notice and Cure Period definition

Notice and Cure Period means a period of time commencing from the date upon which Lender notifies Borrower of the occurrence of an Initial Default and the curative time during which Borrower must cure such Initial Default, which (i) for monetary Initial Defaults (which shall not apply to payments under the Note or Notes) shall be ten (10) days, and (ii) for non-monetary Initial Defaults shall be thirty (30) days.
Notice and Cure Period means the date immediately the ten (10) day period commencing upon the date on which an event as described under Section 6(a) hereof occurs.
Notice and Cure Period means, as used in this Agreement, 5:00 p.m. Arizona Time on the 60th day after the deemed receipt by Accelr8 from the Authority or by the Authority from Accelr8, in accordance with Section 8.1, of a written notice of failure to perform any covenant or agreement or to pay when due any payment of principal, interest, fees, late charges, or other sums due under the this Agreement, during which 60-day period the payment may be made or the performance undertaken and completed;

  • In the event there is any conflict in the terms and conditions of this Note and the Loan Agreement and other Loan Documents executed by the Borrower or Guarantors, the terms and conditions of the Loan Agreement, including, but not limited to, the terms and conditions of the paragraph on Notice and Cure Period in the Loan Agreement will prevail.

  • Unless otherwise provided herein, neither party will terminate this Agreement for the other party’s material breach hereof without providing the Termination Notice and Cure Period described in this Section 8.2(a).

  • In the event Seller fails to cure the delinquency prior to expiration of the Notice Period and Cure Period, Seller shall pay to Mykotronx as liquidated damages, a sum of five percent (5%) of the Transfer Price of the Products that were ordered by Mykotronx' customers and remain unshipped for each month (beyond the thirty (30) day Notice and Cure Period) that such Products so remain unshipped, not to exceed a total of fifty thousand dollars ($ 50,000) of liquidated damages in the aggregate.

  • In the event of Sellers' breach or anticipated breach of the noncompetition and confidentiality provisions of this Agreement, Buyer is not required to comply with Claim Notice and Cure Period provision (set forth in Section 9.3) and the Claim Resolution Procedure provision (set forth in Section 9.4).

  • In the event of Buyer’s breach or anticipated breach of the confidentiality provisions of this Agreement, Servco or AAHA are not required to comply with Claim Notice and Cure Period provision (set forth in Section 11.1) and the Claim Resolution Procedure provision (set forth in Section 11.11), to obtain non-monetary relief, but any Claims for monetary relief shall comply with the Claim Resolution Procedure provision (set forth in Section 11.11).

Related to Notice and Cure Period

  • Cure Period means the period specified in this Agreement for curing any breach or default of any provision of this Agreement by the Party responsible for such breach or default and shall:

  • Notice Period has the meaning set forth in Section 5.09(e).

  • Step-Out Notice has the meaning given to it in Section 8.1.

  • Objection Notice has the meaning set forth in Section 2.3(a) of this Agreement.

  • Termination Warning Notice means a notice sent by the Secretary of State to the Academy Trust, stating his intention to terminate this Agreement.

  • ROFO Period is defined in Section 6.1(a).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Rejection Notice has the meaning specified in Section 2.05(b)(v).

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Negotiation Period has the meaning given in Clause 5.10;

  • Put Notice has the meaning provided in Section 3.4.

  • Rectification Notice means a notice in writing that identifies a defect in a work and requires rectification of the defect within a specified period of time.
