Knowledgeable Employee definition

Knowledgeable Employee means a “knowledgeable employee” with respect to the Issuer within the meaning of Rule 3c-5 under the Investment Company Act.
Knowledgeable Employee. The meaning set forth in Rule 3c-5(a)(4) promulgated under the 1940 Act.
Knowledgeable Employee. The meaning specified in Rule 3c-5 under the Investment Company Act.

  • If the Subscriber is not able to make the representations and warranties set forth in clause (B) or clause (C) of the preceding sentence, then each owner of the Subscriber’s securities is a Qualified Purchaser capable of making the representations and warranties set for in clause (B) and (C) with respect to its interests in the Subscriber or a Knowledgeable Employee.

Knowledgeable Employee means an investor who is:-
