The Receiving Party may disclose the Disclosing Party's Confidential Information when and to the extent required by law, regulation or court order, but only after it, if legally permissible: (a) uses commercially reasonable efforts to notify the Disclosing Party; and (b) gives the Disclosing Party an opportunity to challenge the disclosure.
The Disclosing Party makes no warranty, express, implied or otherwise, as to the accuracy, completeness or performance of the Confidential Information disclosed including warranties of title, non-infringement, merchantability or suitability for a particular purpose.
Each Party (“Disclosing Party”) shall make available to another Party (“Requesting Party”) information that is in the possession of the Disclosing Party and is necessary in order for the Requesting Party to: (i) verify the costs incurred by the Disclosing Party for which the Requesting Party is responsible under this Agreement; and (ii) carry out its obligations and responsibilities under this Agreement.
The Parties agree that any disclosure of Confidential Information in breach of this Section 4 may cause immediate and irreparable injury to the Disclosing Party and that, in the event of such breach, the Disclosing Party may be entitled, in addition to any other available remedies, to seek immediate injunctive and other equitable relief without the necessity of showing actual damages.
Receiving Party shall give Disclosing Party prompt notice of any such legal or governmental demand and reasonably cooperate with Disclosing Party in any effort to seek a protective order or otherwise to contest such required disclosure, at Disclosing Party’s expense.
